Civmec answers shareholder questions ahead of 30 October AGM

On 23 October 2026, Civmec released responses to shareholder questions ahead of its AGM on 30 October 2026. The answers cover early contractor involvement (ECI) demand, an order book of approximately A$1.5 billion, Henderson Defence Precinct positioning, liquidity and succession.

For investors, the responses set out management’s view of the growth pipeline and the main risks before the vote.

Early contractor involvement and a A$1.5 billion order book

ECI seen as a sustained shift

Civmec views the wider use of ECI as a sustained change in how many clients approach the procurement of major works, not a short-term trend. Early contractor involvement means a client brings a contractor in before a project reaches final investment decision.

Management pointed to several drivers: greater cost and schedule certainty, earlier input on constructability, sequencing and risk, and a market where skilled labour and specialist capacity are constrained.

Civmec is engaged on ECIs for Rio Tinto’s Car Dumper 3 replacement and QAL’s double digestion project. BHP’s Port Debottlenecking Project 2 was awarded after an ECI process.

ECI does require an upfront investment of senior engineering, estimating and operational resources, and not every engagement will proceed to award. However, they are often funded by the client to at least cover the direct resource costs, and conventional tendering remains buoyant across the Group’s operating sectors.

Diversified order book

Civmec’s order book has grown to approximately A$1.5 billion following the contract awards announced on 5 October 2026, including the Wagerup Gallium Project for Alcoa. Recent awards named in the responses include:

  • BHP’s Port Debottlenecking Project 2
  • Works on Iluka’s Eneabba Rare Earths Refinery
  • The Perth Park project
  • The Wagerup Gallium Project for Alcoa

Demand spans traditional markets (iron ore, alumina, nickel, and oil and gas) and newer markets including rare earths, gallium and other critical minerals.

Civmec's Diversified A$1.5 Billion Order Book

The Wagerup gallium contract for Alcoa spans civil, structural, mechanical, piping, electrical and instrumentation works plus commissioning support, and sits within more than A$220 million of new awards to be delivered across FY27 and FY28.

The book combines major capital projects and long-duration programmes, including the Arafura Class OPV programme, with recurring maintenance work, supported by regional facilities in Port Hedland and Gladstone. Management said this breadth reduces reliance on any single sector, commodity or client.

Defence growth and the Henderson Defence Precinct

Arafura Class OPV and beyond

Since Civmec Defence Industries (CDI) assumed the role of prime contractor on 1 July 2025, HMAS Eyre has been delivered and commissioned. NUSHIP Pilbara has been launched as the first vessel built in Western Australia.

All four remaining vessels are under construction at Henderson: NUSHIP Pilbara (OPV 3), NUSHIP Gippsland (OPV 4), NUSHIP Illawarra (OPV 5) and NUSHIP Carpentaria (OPV 6).

The 2026 National Defence Strategy, released in April 2026, re-committed to all six Arafura Class vessels. It also added A$1.0 to A$1.5 billion of funding over ten years, primarily directed at sustainment.

Arafura Capability Enhancement

Civmec has put forward an Arafura Capability Enhancement concept to enhance the vessels’ capability.

Precinct zoning and long-term strategy

The National Defence Strategy also confirmed a A$25 billion funding envelope for the Henderson Defence Precinct. On 24 August 2026, the Western Australian and Commonwealth Governments jointly confirmed the zone allocation.

Defence expansion activity will be located north of Civmec’s Henderson facility, while the area immediately in front has been allocated to non-defence industry. Civmec said this allows it to keep operating across all of its sectors from Henderson with minimal interference.

CDI’s long-term objective is to be an enduring Australian sovereign shipbuilder and prime defence contractor, not a single-programme business. Its strategy focuses on three areas:

  1. Through-life support and capability enhancement of the Arafura Class, including any international opportunities.
  2. Pursuing future naval shipbuilding and sustainment programmes at Henderson.
  3. Applying the Group’s broader heavy engineering, fabrication and construction capability to defence infrastructure.

On the Mogami class frigate programme, Civmec acknowledged the Commonwealth’s Strategic Shipbuilding Agreement with Austal and its role as Strategic Shipbuilder at Henderson. The Group does not comment on the likelihood of securing any particular contract, but believes Civmec and CDI are well placed to contribute.

Potential avenues for participation include:

  • Fabrication and outfitting of hull blocks, modules and major structures
  • Supply-chain and specialist manufacturing scopes
  • Sustainment activity
  • Construction of the precinct infrastructure required to support the programme

How precinct ramp-up works for Civmec

A defence precinct is a location where large integrated shipyards are supported by co-located specialist industry. Civmec said this model concentrates capability, workforce and infrastructure in one place, so prime shipbuilders can draw on nearby fabrication, engineering and maintenance capacity.

The Henderson Defence Precinct is being developed on this model. Civmec cited its large-scale undercover fabrication and assembly facilities and its location within the Precinct as advantages.

Opportunity Civmec capability
Marine and civil works, piling and structural concrete Site civil works and precast concrete, delivered routinely for major clients
Heavy structural steel fabrication and erection Heavy engineering and large-scale undercover fabrication
Structural, mechanical and piping (SMP) Core SMP capability
Electrical and instrumentation installation Electrical, instrumentation and control (EIC)
Modular construction Modularisation capability
Ongoing maintenance and support of Precinct facilities Established maintenance business

Bechtel Infrastructure Australia has been appointed by the Commonwealth to develop the master plan for the Precinct. Its engagement is with the Commonwealth and is not through Civmec.

Management identified the main potential impacts as increased competition for skilled labour and subcontractors, and greater demand on local road, marine and logistics infrastructure. Some disruption during construction may occur, but it is not expected to have a material impact on operations.

Mitigation centres on workforce. Civmec is a Registered Training Organisation, maintains a substantial apprenticeship and graduate programme, and can allocate work across regional facilities in Newcastle, Gladstone and Port Hedland.

Liquidity, investor reach and leadership succession

In December 2025, the Executive Chairman, the Chief Executive Officer and the then Chief Operating Officer sold a combined 28.4 million shares through a block sale. Civmec said it introduced new institutional shareholders to the register and increased free float, which supports improved liquidity over time.

Civmec is dual listed on the ASX and SGX, and management meets regularly with analysts, fund managers and brokers in Australia and Singapore. It will continue to engage with Singapore-based fund managers, including those appointed under the Monetary Authority of Singapore’s Equity Market Development Programme.

On succession, the Board said the management changes over the past year were, to a large extent, planned. Kevin Deery retired as Chief Operating Officer in May 2026 after leading a planned succession pathway over several years, and has made himself available to support the company on a contract by contract basis.

The Nominating Committee reviews succession plans for the Executive Chairman, the Chief Executive Officer and senior management each year and reports to the Board.

What happens next for Civmec

  1. AGM on 30 October 2026: shareholders vote following these responses.
  2. Precinct detail: Civmec looks forward to further information on the scope, staging and procurement approach for the Precinct as master planning is completed.
