Ingenia Draws a Matching $5.45 Bid From AVID, With No Binding Offer Yet

AVID has lifted its cash proposal for Ingenia Communities to $5.45 a security, matching Warburg Pincus and setting up a total of up to $5.50 in this Ingenia Communities AVID takeover proposal.
By Josua Ferreira -
  • AVID has raised its cash proposal for Ingenia from $5.35 to $5.45 a stapled security, matching the Warburg Pincus bid.
  • The AVID price is not cut by the payout, so holders could receive up to $5.50 in total, the same as the Warburg Pincus offer.
  • The Ingenia Board judged in good faith that the new AVID offer is equal or better, and it has cut off Warburg Pincus' access to the company's books.
  • The Board has not said it will recommend the AVID offer, and the Peet deal stays in place with a $10 million fee if it is ended for a superior bid.
  • Nothing is locked in, and there is no certainty AVID's proposal will lead to a formal binding offer.

AVID matches Warburg Pincus at $5.45 cash per stapled security

On 1 November 2026, AVID Property Group Holdings Pty Ltd (AVID) exercised its matching right under the AVID Process Deed, lifting its revised non-binding indicative proposal for Ingenia Communities Group (ASX:INA) to $5.45 cash per stapled security. The figure is up from $5.35 under the AVID proposal announced on 26 October 2026.

The Revised AVID Proposal price will not be reduced by the Permitted Distribution. Ingenia securityholders would therefore receive a total of up to $5.50 cash per stapled security, matching the Latest WP Proposal from Warburg Pincus.

Ingenia announced the development on 2 November 2026. The group has a market capitalisation of $1.7 billion, and AVID’s price increased from $5.35 to $5.45 per stapled security.

Key figures from the announcement:

  • AVID Proposal (26 October 2026): $5.35 cash per stapled security
  • Revised AVID Proposal (1 November 2026): $5.45 cash per stapled security, not reduced by the Permitted Distribution
  • Latest WP Proposal (28 October 2026): $5.45 cash per stapled security, plus a Permitted Distribution of up to $0.05 cash per stapled security for the half year ending 31 December 2026

How the bidding contest reached this point

The Latest WP Proposal came from Warburg Pincus LLC and/or its affiliates (Warburg Pincus), together with its co-investors. It was a further revised, non-binding indicative proposal, announced by Ingenia on 28 October 2026. That announcement also marked the commencement of the matching right process under the AVID Process Deed.

Ingenia Bidding War Timeline and Offer Values

Warburg Pincus lifted its offer to $5.45 cash plus a distribution of up to $0.05 after AVID’s earlier bid, and the plan to split the group between Discovery Parks and LDR Capital shaped how the Board weighed it.

The table below tags each figure to its proposal.

Proposal Date Cash price per stapled security Permitted Distribution Total up to
AVID Proposal Announced 26 October 2026 $5.35 – –
Latest WP Proposal (Warburg Pincus) Announced 28 October 2026 $5.45 Up to $0.05 Up to $5.50
Revised AVID Proposal 1 November 2026 $5.45 Price not reduced by the Permitted Distribution Up to $5.50

Other than the increased offer price, the terms and conditions of the Revised AVID Proposal are the same as those of the AVID Proposal.

Board determination and what it means

Equal or superior outcome

The Ingenia Board considered the Revised AVID Proposal and, in accordance with the terms of the AVID Process Deed, determined in good faith that it would provide an equal or superior outcome to Ingenia securityholders as a whole compared with the Latest WP Proposal.

As a result, the AVID Process Deed remains on foot. Ingenia has terminated Warburg Pincus’ access to Ingenia’s due diligence.

Peet scheme implementation deed remains in place

The Board has not determined that the Revised AVID Proposal constitutes a “Bidder Superior Proposal” under the scheme implementation deed between Ingenia and Peet Limited (Peet) dated 26 August 2026 (Peet SID). The Revised AVID Proposal is therefore not currently a “Bidder Superior Proposal” for the purposes of the Peet SID, and the Board has not indicated that it intends to recommend it to securityholders.

Ingenia continues to comply with its obligations under the Peet SID and continues to work with Peet towards implementation of Ingenia’s proposed acquisition of Peet.

Under the Peet SID, Ingenia is entitled to terminate (prior to 8.00am on the Second Court Date) if the Board determines that a Bidder Competing Proposal constitutes a Bidder Superior Proposal and meets the further conditions set out in the deed. In that event, Ingenia would be liable to pay a $10 million reverse break fee to Peet.

Understanding matching rights and process deeds

A non-binding indicative proposal is an expression of the price and terms a bidder may be prepared to pursue. It is not a binding offer, so it does not commit either side to a transaction.

In this process, the matching right allowed AVID to respond to Warburg Pincus’ Latest WP Proposal by revising its own price. For investors, the contest points to price discovery under way, although there is no certainty of a formal binding offer.

Three threads remain live:

  1. AVID Process Deed: remains on foot following the Board’s determination.
  2. Warburg Pincus due diligence access: Ingenia has terminated Warburg Pincus’ access to due diligence.
  3. Peet SID: remains in place, with Ingenia continuing to work with Peet towards implementation of its proposed acquisition of Peet.

What happens next for Ingenia securityholders

Ingenia securityholders do not need to take any action in relation to the Revised AVID Proposal.

There is no certainty that the Revised AVID Proposal will result in a formal binding offer for Ingenia, or that any transaction will eventuate. Ingenia will keep securityholders informed in accordance with its continuous disclosure obligations.

Ingenia is an operator, owner and developer of communities focused on the growing seniors’ market in Australia. Across Ingenia Lifestyle, Ingenia Gardens, Ingenia Holidays and Ingenia Rental, the group has 96 communities and development sites, and is included in the S&P/ASX 200.

Frequently Asked Questions

What is a matching right in a takeover?

A matching right lets one bidder respond to a rival's higher offer by raising its own price. AVID used its right on 1 November 2026 to lift its Ingenia offer to $5.45 in cash.

How much is AVID offering for Ingenia Communities?

AVID is offering $5.45 in cash per stapled security, up from $5.35. Because that price is not cut by the payout, holders could receive up to $5.50 in total.

Do Ingenia securityholders need to do anything about the AVID proposal?

No. Ingenia has said securityholders do not need to take any action on the revised AVID proposal. The company will keep them updated as news comes in.

What happens to the Peet deal if AVID's offer goes ahead?

The Peet agreement stays in place for now, because the Board has not found the AVID offer to be a superior proposal. If it later does and ends the Peet deal, Ingenia would owe Peet a $10 million fee.

What is a non-binding proposal?

It is an outline of the price and terms a bidder may be willing to pursue. It is not locked in, so it does not commit either side to a deal.
