Warburg Pincus lifts Ingenia offer to $5.45 cash per stapled security

Ingenia Communities Group (ASX:INA) has received a further revised, non-binding indicative proposal dated 27 October 2026 from Warburg Pincus LLC and/or its affiliates (Warburg Pincus), together with its co-investors. The proposal is to acquire 100% of Ingenia’s stapled securities by way of inter-conditional scheme of arrangement and trust schemes (the Latest WP Proposal).

The price is $5.45 cash per stapled security. Warburg Pincus proposes that it will not be reduced by any distribution for the half year ending 31 December 2026 of up to $0.05 (the Permitted Distribution), so securityholders would receive a total of up to $5.50 cash per stapled security.

The price is $0.10 per stapled security higher than the non-binding indicative proposal from AVID Property Group Holdings Pty Ltd (AVID), announced on 26 October 2026 (the AVID Proposal). Warburg Pincus has stated that it considers the AVID Proposal to be a superior proposal for the purposes of its ‘best and final’ (in the absence of a superior proposal) statement, referred to in Ingenia’s announcement on 15 October 2026, permitting it to increase its price.

The earlier $5.25 price had been declared best and final in the absence of a superior proposal, which is why the AVID Proposal was the trigger that allowed Warburg Pincus to move higher.

Ingenia is included in the S&P/ASX 200 and has a market capitalisation of $1.7 billion. Two bidders are now competing for the group.

Headline terms of the Latest WP Proposal:

  • Price: $5.45 cash per stapled security
  • Permitted Distribution: up to $0.05 for the half year ending 31 December 2026, not deducted from the price
  • Total: up to $5.50 cash per stapled security
  • Structure: inter-conditional scheme of arrangement and trust schemes for 100% of stapled securities
  • Status: non-binding and indicative

How the bidding contest reached this point

The AVID Process Deed and fiduciary out

As announced on 26 October 2026, Ingenia entered into a process deed with AVID granting it a period of ‘soft’ exclusivity (the AVID Process Deed).

AVID’s original $5.35 proposal, which rose to a total of up to $5.40 with the permitted distribution, was granted up to six weeks of soft exclusivity, and it is that process deed which now frames how Ingenia can respond to Warburg Pincus.

After consulting its financial advisers, the Ingenia Board determined in good faith that the Latest WP Proposal is or could reasonably be considered to become a ‘Superior Proposal’ for the purposes of the fiduciary out in clause 5.5 of the AVID Process Deed.

The Board also determined, after receiving written legal advice from its external legal advisers, that complying with the ‘no talk’ and ‘no due diligence’ restrictions would be reasonably likely to constitute a breach of any Ingenia director’s fiduciary or statutory obligations. The ‘fiduciary out’ therefore applies, allowing Ingenia to engage with Warburg Pincus and provide access to due diligence again, which Ingenia has now done.

AVID matching right

Before Ingenia can enter into a process deed with Warburg Pincus or terminate the AVID Process Deed, it must first give AVID the opportunity to match the Latest WP Proposal. Ingenia is commencing the matching right process by notifying AVID of the material terms and inviting a matching or superior counterproposal for the Board’s consideration on or before Sunday, 1 November 2026.

Ingenia Takeover Timeline

The AVID Process Deed remains operative, so AVID continues to have access to due diligence and can continue to engage with Ingenia.

Bidder Price Status
AVID Proposal (announced 26 October 2026) n/a Non-binding indicative proposal; AVID Process Deed with ‘soft’ exclusivity remains operative
Latest WP Proposal (dated 27 October 2026) $5.45 cash per stapled security (plus Permitted Distribution of up to $0.05) Non-binding indicative proposal; subject to AVID’s matching right

Conditions attached to the Latest WP Proposal

The Latest WP Proposal is subject to the following conditions:

  1. Ingenia approving Warburg Pincus’ co-investors, Discovery Parks Holdings Pty Ltd (Discovery Parks) and LDR Capital Pty Ltd (LDR Capital), under its confidentiality deed with Warburg Pincus. Discovery Parks is proposed to acquire Ingenia’s holiday parks business and LDR Capital is proposed to acquire its gardens business.
  2. The Ingenia Board promptly considering the proposal and confirming the application of the fiduciary out and that it is a ‘Superior Proposal’ for the purposes of the AVID Process Deed.
  3. Ingenia promptly taking all steps required to commence the matching right process under the AVID Process Deed.
  4. Subject to AVID’s matching right, Ingenia terminating the AVID Process Deed, ceasing discussions with AVID and entering into a process deed with Warburg Pincus on terms previously negotiated between Ingenia and Warburg Pincus.
  5. Warburg Pincus being granted exclusive due diligence access by no later than Sunday, 1 November 2026.
  6. The conditions of Warburg Pincus’ earlier proposals, including satisfactory completion of due diligence, binding debt finance commitments, final investment committee approval, negotiation of a binding scheme implementation deed on customary terms, FIRB and ACCC approval, and Ingenia terminating the scheme implementation deed with Peet Limited (Peet) dated 26 August 2026 (Peet SID).

The proposal remains non-binding and subject to these conditions.

Peet SID and what securityholders should understand

Peet acquisition remains on foot

The Ingenia Board has not determined that the Latest WP Proposal constitutes a ‘Bidder Superior Proposal’ under the Peet SID, so it is not currently one for those purposes. The Board has also not indicated that it intends to recommend the Latest WP Proposal to its securityholders.

Ingenia continues to comply with its obligations under the Peet SID and continues to work with Peet towards implementation of Ingenia’s proposed acquisition of Peet.

Under the Peet SID, Ingenia is entitled to terminate (prior to 8.00am on the Second Court Date) if the Board determines that a Bidder Competing Proposal constitutes a Bidder Superior Proposal and meets the required fiduciary tests. In that event, Ingenia would be liable to pay a $10 million reverse break fee to Peet.

Mergers and schemes explained

A few terms recur in the announcement:

  • Scheme of arrangement: a court-approved process by which a company can be acquired, typically with securityholder votes.
  • Non-binding indicative proposal: an expression of the price and terms a bidder is prepared to pursue, which does not commit either side to a deal.
  • Matching right: the opportunity for an existing bidder to match or beat a rival offer before the target can proceed with the rival.
  • Fiduciary out: a provision allowing directors to depart from deal restrictions where complying would risk breaching their legal duties.

What happens next for Ingenia securityholders

The announcement states the following dated events:

  1. AVID’s matching or superior counterproposal is due on or before Sunday, 1 November 2026, and determines whether the Board can proceed with a process deed with Warburg Pincus.
  2. Exclusive due diligence access for Warburg Pincus is required by no later than Sunday, 1 November 2026, as a condition of the Latest WP Proposal.
  3. A distribution of up to $0.05 per stapled security in respect of the half year ending 31 December 2026 is contemplated as the Permitted Distribution.

There is no certainty that the Latest WP Proposal or the AVID Proposal will result in a formal binding offer for Ingenia, or that any transaction will eventuate. Ingenia will keep securityholders informed in accordance with its continuous disclosure obligations.

Securityholders do not need to take any action in relation to the Latest WP Proposal or the AVID Proposal.
