Warburg Pincus confirms $5.25 cash offer for Ingenia and seeks exclusivity
Ingenia Communities Group (ASX:INA) has received a letter from Warburg Pincus LLC providing updates to its further revised non-binding indicative proposal to acquire 100% of the issued capital via a scheme of arrangement at $5.25 cash per stapled security (the Further Revised Indicative Proposal).
The updates include a reconfirmation of terms following a review of initial due diligence materials. Ingenia agreed to provide Warburg Pincus with access to initial due diligence on a non-exclusive basis, as announced on 5 October 2026.
The price is unchanged at $5.25, and the reconfirmation came after Warburg Pincus reviewed initial due diligence materials. The proposal remains non-binding and indicative. Ingenia has a market capitalisation of $1.7 billion and is included in the S&P/ASX 200.
The Board had previously rejected the $5.05 proposal after concluding it substantially undervalued Ingenia, and Warburg Pincus has since lifted its price to $5.25 and added a best and final declaration.

The updates to the Further Revised Indicative Proposal include the following:
- A reconfirmation of the terms following a review of initial due diligence materials.

The table below summarises how each term relates to securityholders.

Board Confirmation and the Peet Limited comparison
Before Warburg Pincus commences exclusive due diligence, the Ingenia Board must confirm that it considers the Further Revised Proposal would, if completed in accordance with its terms, be more favourable to Ingenia securityholders than Ingenia’s proposed acquisition of Peet Limited (the Board Confirmation). The announcement does not disclose details of the Peet Limited transaction.
Ingenia has pointed to 11% pro forma EPS accretion and a larger land lease pipeline from the Peet deal, which is the benchmark the Board will test the Warburg Pincus cash price against.
The confirmation is assessed as at the date it is provided, having regard to the information available to the Board at that time, and is subject to the following:
- Warburg Pincus successfully completing its outstanding confirmatory due diligence and reconfirming the Further Revised Proposed Price.
- Negotiation of mutually agreed definitive documentation.
- There being no superior proposal.
Key deadline: Monday, 19 October 2026
It is a condition of the Further Revised Proposal that Ingenia provides the Board Confirmation and confirms exclusive access to the outstanding due diligence materials (subject to entering a mutually agreeable process deed) by no later than Monday, 19 October 2026.
How scheme of arrangements and non-binding proposals work
A scheme of arrangement is a company-led process through which a buyer can acquire all of a company’s issued capital. Here, the proposal is for 100% of Ingenia’s issued capital.
“Non-binding indicative” means the proposal is an expression of interest on stated terms. Neither side is obliged to proceed, and it may not lead to a formal offer.
Due diligence is the buyer’s detailed review of a company’s records before committing to a deal. Exclusivity means the target gives that buyer access to those materials on an exclusive basis.
A “best and final” declaration signals that the bidder does not intend to raise its price, unless a superior proposal emerges.
