Cleanaway extends EQT exclusivity to 19 October 2026 as due diligence nears completion
Cleanaway Waste Management Limited (ASX: CWY) and EQT Infrastructure have agreed to extend the exclusivity period under the Transaction Process Deed to 7 am on Monday 19 October 2026. The extension relates to the EQT Infrastructure proposal to acquire 100% of Cleanaway’s shares by way of a scheme of arrangement.
EQT confirmed on 11 October 2026 that it is “currently finalising the assessment of its due diligence review” in respect of the Potential Transaction. The update, dated 12 October 2026, follows the Transaction Process Deed announced on 13 August 2026.
The announcement states that the extension reflects EQT’s ongoing due diligence assessment. The parties are also continuing to progress the negotiation and execution of an implementation deed.

What EQT has confirmed
Three commitments from the 11 October confirmation
EQT provided Cleanaway with a further confirmation on 11 October 2026 that it:
- Is currently finalising the assessment of its due diligence review in respect of the Potential Transaction.
- Does not intend to make any variations to the terms offered under the Proposal that would make the Potential Transaction less favourable to Cleanaway shareholders.
- Confirms its commitment to proceed with the Potential Transaction on the terms of the Proposal, and to enter into an implementation deed on or before the expiry of the exclusivity period under the Transaction Process Deed.
The announcement does not disclose any price or per-share terms for the Proposal.
The EQT takeover proposal was first disclosed in August 2026 with the Cleanaway Board signalling its intention to recommend the deal, subject to execution of a binding agreement and an independent expert’s conclusion.

How a scheme of arrangement works
A scheme of arrangement is a process commonly used in Australia to carry out a company takeover. If it proceeds, the bidder acquires all of the target’s shares, subject to the approvals the process requires.
A process and exclusivity deed sets out how the parties will work together while the bidder completes its due diligence, and it restricts the target from engaging with other bidders for a set period. An implementation deed is the binding agreement that follows, setting out the terms on which the transaction will proceed.
The general sequence runs from a non-binding proposal, to due diligence, to an implementation deed, and then to a shareholder vote. Cleanaway sits before the implementation deed stage, and the Proposal covers 100% of its shares. The announcement does not specify any vote timing, court dates or approval thresholds.
What shareholders need to know
Cleanaway shareholders do not need to take any action in relation to the Proposal at this time. The company stated it will provide a further update to the market “as and when appropriate.”
The announcement also carries a caution. There is no certainty that the Proposal will lead to a binding proposal capable of being put to Cleanaway shareholders, or that any transaction will proceed.
Cleanaway’s FY26 earnings result showed underlying EBIT growth of 14.2% to $470.2m, alongside FY27 guidance of $500m-$530m, giving shareholders a fundamental reference point while the transaction remains non-binding.

- Australia’s largest waste and industrial services fleet, as described by the company
