AVID tables $5.35 cash proposal for Ingenia, up to $5.40 with distribution
Ingenia Communities Group (ASX:INA) advised on 26 October 2026 that it received an unsolicited, non-binding indicative proposal after market close on 23 October 2026 from AVID Property Group Holdings Pty Ltd (AVID). AVID has backing from a global sovereign wealth fund and a global financial sponsor.
The proposal is to acquire 100% of Ingenia’s stapled securities, by way of scheme of arrangement and inter-conditional trust scheme, at $5.35 cash per stapled security. AVID proposes that this price will not be reduced by a distribution of up to $0.05 cash per stapled security for the half year ending 31 December 2026 (the Permitted Distribution), so securityholders would receive a total of up to $5.40.
Ingenia is included in the S&P/ASX 200 and has a market capitalisation of $1.7 billion. The approach sits alongside a separate live transaction, Ingenia’s proposed acquisition of Peet Limited (Peet).

Conditions attached to the AVID Indicative Proposal
The AVID Indicative Proposal is conditional upon:
- AVID completing due diligence to its satisfaction.
- The support of the Ingenia Board through a unanimous recommendation to vote in favour, and a commitment from all Ingenia directors to vote in favour (in the absence of a superior proposal and subject to an independent expert concluding the proposal is in the best interests of Ingenia securityholders). This would also be a condition in a scheme implementation deed between Ingenia and AVID.
- Agreeing a scheme implementation deed containing customary terms and conditions.
- Approval by AVID’s board and investment committee of the final proposal terms.
- Ingenia terminating the scheme implementation deed with Peet dated 26 August 2026 (Peet SID) in accordance with its terms upon entry into a scheme implementation deed with AVID, and not implementing the transactions contemplated by the Peet SID.
The customary terms of the scheme implementation deed include, but are not limited to:
- No material adverse change and no prescribed occurrences or regulated events, other than as fairly disclosed.
- All necessary regulatory approvals, including FIRB and ACCC.
- Standard exclusivity and deal protection measures, including a break fee, no shop, no talk, no due diligence, notification rights and a matching right (subject, in the case of no talk and no due diligence, to the usual fiduciary carve-outs).
The price is to be reduced by the amount of any dividends or distributions determined or otherwise payable after 23 October 2026, other than the Permitted Distribution.
The proposed acquisition of Peet would give Ingenia 0.3367 stapled securities plus $0.68 cash per Peet share, and it would create a combined group with a pipeline of more than 35,000 lots.
Funding and the holiday parks restructure
AVID has stated that it intends to fund the proposal through a combination of equity and debt, and that definitive transaction documents would not be subject to a financing condition.
AVID also intends to transfer Ingenia’s holiday parks business to Tasman Holiday Parks or its nominee following implementation (the Restructure). The Restructure would not be a condition to implementation or to payment of the scheme consideration, though documents to give effect to it will need to be agreed before the second court date for any AVID scheme.
How the process deed and Peet SID interact
After careful consideration, the Ingenia Board entered into a process deed with AVID and granted it a period of “soft” exclusivity of up to six weeks. The no talk and no due diligence provisions are, at all times, subject to a customary “fiduciary out”.
Because Ingenia signed the process deed, it has terminated Warburg Pincus’ access to Ingenia’s data room.
The Board’s earlier stance on rejected Warburg Pincus bids, including a $5.05 offer it said substantially undervalued Ingenia, frames how it is likely to test the AVID price.
| Term | Detail |
|---|---|
| Exclusivity length | Up to 6 weeks from the date of the deed |
| No shop | Ingenia must not solicit, invite, encourage or initiate enquiries or proposals for a Competing Proposal |
| No talk | No negotiations on a Competing Proposal, subject to the fiduciary out |
| No due diligence | No facilitation of due diligence by other parties, subject to the fiduciary out |
| Notification | Ingenia must notify AVID in writing within 48 hours of a bona fide written Competing Proposal or related approach |
| Matching right | AVID has until the Cut Off Date, being 4 days after provision of the competing proposal information, to provide a matching or superior proposal |
On the Peet transaction, the Ingenia Board confirmed it has not determined that the AVID Indicative Proposal constitutes a “Bidder Superior Proposal” under the Peet SID. It has not indicated that it intends to recommend the proposal to securityholders, and Ingenia continues to work with Peet towards implementation of its proposed acquisition of Peet.
Ingenia is entitled to terminate the Peet SID if the Board determines that a Bidder Competing Proposal constitutes a Bidder Superior Proposal, in the circumstances set out in the Peet SID. In that event, Ingenia would be liable to pay a $10 million reverse break fee to Peet.
There is no certainty that the proposal will lead to a binding proposal for consideration by securityholders, or that any transaction with AVID will eventuate. Securityholders do not need to take any action.
What is a scheme of arrangement and a soft exclusivity period?
A scheme of arrangement is a process by which a company can be acquired, typically subject to a securityholder vote and court approval. Here, the AVID proposal would proceed by scheme of arrangement and inter-conditional trust scheme.
“Soft” exclusivity means the no talk and no due diligence restrictions are, at all times, subject to a customary “fiduciary out”. The fiduciary out allows the Board to respond to a bona fide competing proposal where it has determined, after advice, that the proposal is or could reasonably become a Superior Proposal and that compliance would be reasonably likely to breach directors’ duties.
For securityholders, the structure means the prospect of competing interest is preserved.
What happens next for Ingenia securityholders
The process deed sets out the following steps:
- AVID must provide written confirmation on 13 November 2026 that it does not, as at that date, intend to withdraw its proposal, reduce the price or vary other terms to make the transaction less favourable to securityholders, subject only to finalising due diligence and financing, and negotiating and executing the implementation deed.
- AVID must provide a second written confirmation on 30 November 2026. If either confirmation is not given, the Exclusivity Period ends on the date it was required.
- The Exclusivity Period ends no later than six weeks from the date of the deed (26 October 2026).
- The parties must negotiate in good faith a scheme implementation deed within the exclusivity period, to allow the Board to consider whether the transaction could constitute a Bidder Superior Proposal.
- Ingenia will update securityholders in due course.
