Adherium consolidates working capital funding into A$4.67 million term loan
Adherium Limited (ASX: ADR) has consolidated multiple short-term loans from its major shareholder, Trudell Medical Limited, into a single Term Loan of AUD$4,671,025, due 31 August 2027. The move is a financial housekeeping exercise rather than a new external capital raise, combining existing tranches and accrued interest into one consolidated facility.
The new facility incorporates a fresh tranche of AUD$1,300,000, along with two prior unsecured loans: USD$1,650,000 entered into on 29 June 2026 and AUD$1,000,000 entered into on 14 August 2026, plus accrued interest. Trudell Medical Limited, described in the announcement as a global leader in aerosol drug delivery and lung health devices, remains the sole lender. Funds will be used for working capital requirements.

The Board outlined its rationale for sourcing the facility from Trudell rather than a third-party lender:
- The Term Loan does not dilute existing shareholders
- The interest rate is considered reasonable in the circumstances
- Speed of execution compared to alternative funding options was a factor
- The facility meets immediate working capital requirements
- Alternative funding options were described as limited, uncertain, or available only on materially less favourable terms
On governance, Mr George Baran, who is associated with Trudell, abstained from the Board vote. The remaining Board members assessed the Loan Facility as negotiated on arm’s length terms, being on comparable terms to similar short-term loans with unrelated parties. Shareholder approval is not required under Part 2E of the Corporations Act 2001 (Cth).
What is the Hailie® Smartinhaler® platform and why does working capital matter?
Adherium is a digital respiratory health company whose flagship product, the Hailie® Smartinhaler®, is cleared by the US Food and Drug Administration (FDA). The platform connects patients, clinicians, and healthcare providers to remotely monitor medication usage and adherence, with more than 180,000 devices sold globally to date.
For a company at Adherium’s stage of commercialisation, bridge funding from a supportive major shareholder is a common feature of scaling operations while revenue grows. The consolidated Term Loan is non-dilutive, which is a modest positive relative to an equity raise, though it does reflect the company’s continued reliance on Trudell for short-term liquidity. Investors should view the arrangement in that balanced context.
For investors wanting to understand the commercial case underpinning these funding arrangements, our dedicated guide to Adherium’s ATS 2026 clinical findings covers two independent studies showing a 57% reduction in total cost of care and a near-2x gap between self-reported and objectively measured medication adherence across more than 1,000 patients.
