Ingenia opens matching right process after Further Revised WP Proposal of up to $5.60 per stapled security
Ingenia Communities Group (ASX:INA) has commenced the matching right process with AVID Property Group Holdings Pty Ltd (AVID) after receiving a further revised, non-binding indicative proposal from Warburg Pincus LLC and/or its affiliates (Warburg Pincus). The proposal, referred to in an announcement made earlier on 6 November 2026, is for up to $5.60 cash per stapled security.
The proposal comes from Warburg Pincus together with co-investors Discovery Parks Holdings Pty Ltd (Discovery Parks) and LDR Capital Pty Ltd (LDR Capital). Ingenia calls it the Further Revised WP Proposal.
Key terms of the Further Revised WP Proposal:
- Cash component: $5.55 cash per stapled security
- Distribution component: any distribution paid by Ingenia for the half year ending 31 December 2026 of up to $0.05 cash per stapled security
- Total: up to $5.60 cash per stapled security
- Response deadline for AVID: Tuesday, 10 November 2026
The Ingenia Board has determined in good faith that the proposal is or could reasonably be considered to become a “Superior Proposal”. That determination is what opens the door to engagement with Warburg Pincus.

How the AVID Process Deed fiduciary out and matching right work here
After consulting with its financial advisers, the Ingenia Board made its determination for the purposes of the fiduciary out in clause 5.5 of Ingenia’s process deed with AVID (AVID Process Deed). The consequences are:
- The fiduciary out in the AVID Process Deed applies, allowing Ingenia to engage with Warburg Pincus (as well as Discovery Parks and LDR Capital).
- Ingenia has reinstated Warburg Pincus’ access to due diligence.
- Before Ingenia can enter into a process deed with Warburg Pincus (as required by the Further Revised WP Proposal) or terminate the AVID Process Deed, it must first give AVID the opportunity to match the proposal.
- Ingenia has notified AVID of the material terms and invited a matching or superior counterproposal for the Ingenia Board’s consideration on or before Tuesday, 10 November 2026.
The AVID Process Deed remains operative. AVID continues to have access to due diligence and can continue to engage with Ingenia.
With two parties now holding due diligence access, the process has a defined decision point in the AVID response deadline.
Warburg Pincus’ rejected amendment of 3 November 2026 had asked for a 4-day window for a rival to keep due diligence access after matching, a condition the Board declined to treat as a better offer than AVID’s.
What a matching right means for securityholders
A matching right gives AVID the first opportunity to respond to the Warburg Pincus terms. Under the AVID Process Deed, Ingenia cannot enter into a process deed with Warburg Pincus, or terminate the AVID Process Deed, until it has given AVID that opportunity.
Ingenia has started that step by notifying AVID of the material terms of the Further Revised WP Proposal. AVID has until Tuesday, 10 November 2026 to put forward a matching or superior counterproposal, which the Ingenia Board would then consider.
Meanwhile, the AVID Process Deed stays in force and AVID keeps its due diligence access.
Peet SID remains in place alongside the competing interest
The Ingenia Board has not determined that the Further Revised WP Proposal constitutes a “Bidder Superior Proposal” under the scheme implementation deed between Ingenia and Peet Limited (Peet) dated 26 August 2026 (Peet SID). The proposal is therefore not currently a “Bidder Superior Proposal” for the purposes of the Peet SID.
The Board has also not indicated that it intends to recommend the Further Revised WP Proposal to its securityholders. Ingenia continues to comply with its obligations under the Peet SID and continues to work with Peet towards implementation of Ingenia’s proposed acquisition of Peet.
The Flagstone joint venture condition behind the Peet deal has three parts, and the first was cleared when the joint venture deed was signed on 5 November 2026, leaving competition regulator clearance still to come.
The Peet SID carries a termination right with a cost attached:
Peet SID termination condition
Ingenia is entitled to terminate the Peet SID (prior to 8.00am on the Second Court Date) if the Ingenia Board determines that a Bidder Competing Proposal constitutes a Bidder Superior Proposal. The Board must also have determined in good faith, after consultation with its financial adviser and after receiving written advice from its external legal advisers, that failure to agree to or recommend the Bidder Superior Proposal to securityholders would, or would be reasonably likely to, constitute a breach of any of the fiduciary or statutory duties of any member of the Ingenia Board. In that event, Ingenia would be liable to pay a $10 million reverse break fee to Peet.
What happens next for Ingenia securityholders
The announcement states the following forward items:
- AVID’s matching or superior counterproposal is due on or before Tuesday, 10 November 2026, for consideration by the Ingenia Board.
- Any distribution for the half year ending 31 December 2026 of up to $0.05 per stapled security forms part of the Further Revised WP Proposal total.
There is no certainty that the Further Revised WP Proposal or any proposal from AVID will result in a formal binding offer for Ingenia, or that any transaction will eventuate.
Ingenia securityholders do not need to take any action in relation to the Further Revised WP Proposal or any proposal from AVID. Ingenia will keep securityholders informed in accordance with its continuous disclosure obligations.
