Gas turbines delivered as $50 million received and $265 million sits in escrow
Energy World Corporation (ASX: EWC) has confirmed delivery of both Siemens gas turbines to Hallador Energy Company (Nasdaq: HNRG), the Buyer. Following Delivery, the Buyer paid Payment 3 of $50 million directly to the Company.
The Buyer also deposited Payment 4 of $265 million into escrow. The payments relate to the Sale of Siemens gas and steam turbines for $350 million, first announced to ASX on 2 June 2026 (June Announcement). All figures are in United States dollars.
For investors, the announcement shows that two of the larger payments are now either received by the Company or held in escrow.
Payments received and secured so far
The table below summarises the payments referenced in the announcement. The amount of the final payment is not disclosed.
| Payment | Amount | Status | Release trigger |
|---|---|---|---|
| Payments 1 and 2 | **$35 million** (aggregate) | **$10 million** paid directly to the Company in **September 2026**; balance applied by the Buyer to third-party packing and loading costs | Not applicable |
| Payment 3 | **$50 million** | Paid directly to the Company following Delivery | Delivery of the gas turbines |
| Payment 4 | **$265 million** | Deposited into escrow by the Buyer | Receipt of the Conformity Assessment (**$132.5 million** less any Holdback Amount) |
| Final payment | Not disclosed | To be released from escrow | Gas Turbine Completion |
Of the $35 million in Payments 1 and 2, the balance after the $10 million was applied by the Buyer to third-party costs of packing and loading the Turbines. Approximately $0.9 million remains with the Buyer and is to be applied to third-party costs of packing and loading additional containers of ancillary equipment included in the Sale.
The original turbine sale agreement set out the four milestone payment structure now being worked through, with the bulk of the proceeds tied to delivery and documentation triggers rather than paid upfront.

How the $265 million escrow release works
The gas turbines are now in transit to the OEM Service Provider’s facilities in the United States for inspection and refurbishment. Before commencing the Restoration Work, the OEM Service Provider will inspect the turbines and issue a Conformity Assessment.
The Conformity Assessment sets out the scope and cost of any Additional Work required to return the turbines to their original operating specifications, measured against the Baseline Estimate of approximately $22 million.
Receipt of the Conformity Assessment will trigger the release from escrow to the Company of $132.5 million less any Holdback Amount. The announcement does not state that the full $265 million is released at that point.
The escrow release amounts matter more because of the debt free FY26 result, which left Energy World with no external borrowings and a pro forma net tangible asset figure well above the reported number.
Conformity Assessment and cost-sharing, explained simply
A Conformity Assessment is an inspection report. It sets out what extra work, if any, the turbines need, and what it will cost. The cost-sharing arrangements work as follows:
- The Buyer funds the Baseline Estimate.
- Additional Work costs of up to a further $22 million are shared equally between the Buyer and the Company.
- Costs above that amount are borne by the Company.
- The Holdback Amount comprises the Company’s share of those costs and any Delay Liquidated Damages.
The inspection findings therefore influence how much of the escrow release the Company ultimately receives. The Holdback Amount is the key variable for investors to watch.
No delay penalties accrued
Delivery occurred after the Gas Turbine Delivery Deadline of 31 August 2026. The delay resulted from the late arrival of the carrying vessel, which was the Buyer’s responsibility.
As confirmed by the Buyer, no Delay Liquidated Damages have accrued. This removes one potential component of the Holdback Amount.
Timeline and what comes next
Two milestones remain, both subject to a number of variables. The timings below are currently expected and are not guaranteed.
| Milestone | Expected timing | Key dependency |
|---|---|---|
| Conformity Assessment | Late **November** or early **December 2026** | Shipping, customs clearance and land transport proceeding to schedule, and the time required to complete the inspection |
| Gas Turbine Completion | Late **January** or early **February 2027** | Completion of the Restoration Work by the OEM Service Provider, subject to a number of variables |
The final payment to the Company will be released from escrow on Gas Turbine Completion.
Delivery has occurred, $50 million has been received under Payment 3, and $265 million is held in escrow. The Conformity Assessment and Gas Turbine Completion are the two defined milestones remaining before the Sale is fully settled.
