Heartland Group Holdings (NZX/ASX: HGH) has confirmed that the Establishment Panel has endorsed Leanne Lazarus as Chief Executive Officer (CEO) designate of TSB Heartland Bank Limited. The endorsement remains subject to completion of the proposed acquisition of TSB Bank Limited from Toi Foundation, the subsequent merger with Heartland Bank Limited, and Reserve Bank of New Zealand (RBNZ) non-objection.

What is the Establishment Panel and why does it matter?
The Establishment Panel was formed jointly by Heartland and Toi Foundation to consider and express views on various matters relating to the structure, affairs, policies, practices, and conduct of the proposed merged bank. It was constituted to provide governance oversight during the transition period before responsibility passes to an independent bank board upon completion of the proposed transaction.
The $620 million merger deal, signed in June 2026, is structured to create New Zealand’s seventh largest bank with approximately $15 billion in total assets and around 320,000 customers, with EY-assessed cost synergies of approximately $34 million per annum underpinning a forecast of more than 20% normalised EPS accretion in the first full year post-completion.
Critically, the Establishment Panel is intended to become the TSB Heartland Bank Board on completion. Its current members are:

Mr Irvine also acknowledged Kerry Boielle, describing her as “a highly respected and experienced leader who has made a significant contribution to TSB, its people and customers.” Importantly, Ms Boielle will continue in her current role and is expected to support continuity and a smooth transition as merger implementation progresses.
Both Heartland Bank and TSB will continue to operate under their respective current leadership until the proposed transaction is completed. Integration planning is progressing, and the Establishment Panel expects to endorse the intended TSB Heartland Bank leadership team in due course.

Heartland shareholders delivered a 94.8% shareholder mandate in favour of the transaction at a Special Shareholder Meeting on 30 September 2026, clearing the 75% special resolution threshold by a wide margin and providing the Establishment Panel with a firm investor mandate to advance integration planning.
Looking ahead, the Establishment Panel expects to endorse the broader TSB Heartland Bank leadership team in due course, with transition arrangements to be confirmed as merger implementation progresses toward completion.
