Independent Directors of Reef Casino Trust (ASX:RCT) unanimously recommend that Unitholders ACCEPT the $4.67 cash per Unit takeover offer from Iris Cairns Property Pty Ltd as trustee for the Iris Cairns Property Trust. The recommendation appears in the Target’s Statement lodged on 23 October 2026.
Independent Directors recommend accepting Iris’s $4.67 cash offer
The recommendation applies in the absence of a Superior Proposal, and subject to the Independent Expert not withdrawing or revoking its opinion that the Offer is fair and reasonable to Unitholders, in the absence of a superior proposal. The Offer is unconditional and closes at 7.00pm (Sydney time) on 9 November 2026, unless extended.
This is Iris’s second off-market takeover bid for RCT. Its earlier bid closed on 14 August 2026.
Key dates and facts from the Target’s Statement:
- 8 October 2026: Iris’s Offer opened
- 23 October 2026: date of the Target’s Statement
- 9 November 2026: scheduled close of the Offer Period (unless extended or withdrawn)
- No conditions: the Offer is not subject to any conditions
Chair Wendy Morris, who also chairs the Independent Board Committee, set out the committee’s position in her letter to Unitholders.
Wendy Morris, Chair, Reef Corporate Services Limited and Chair of the Independent Board Committee
“The Independent Board Committee has carefully considered the Offer and recommends that Unitholders accept the Offer in the absence of a Superior Proposal, for the reasons set out in this Target’s Statement.”
The Non-Independent Directors abstained from making a recommendation. Mr Arnaout is a director and the controller of Iris, while Mr Jones, Mr Hawkins and Ms Sheehan are executives of Iris.

Offer premiums and independent expert findings
Premium to market prices
The Target’s Statement compares the $4.67 Offer price with three pre-announcement benchmarks. Trading data was sourced from IRESS.
| Benchmark | Reference price | Premium to $4.67 |
|---|---|---|
| Closing RCT Unit price on 23 September 2026 | $3.6050 | 29.54% |
| 1 month VWAP to 23 September 2026 | $3.6403 | 28.29% |
| 3 month VWAP to 25 February 2025 | $2.6912 | 73.53% |
The 25 February 2025 date is the last trading day before RCT announced it had received a proposal from Iris in respect of its earlier bid. The 23 September 2026 date is the Business Day before the Offer was announced.
Fair and reasonable, says Lonergan Edwards
Lonergan Edwards & Associates Limited, the Independent Expert, assessed the value per Unit at $3.81 to $4.18, with a mid-point of $3.99. The Offer price sits at a 17.04% premium to that mid-point.
The Independent Expert concluded the Offer is fair and reasonable to Unitholders, in the absence of a superior proposal. It described the probability of a competing proposal emerging as “extraordinarily remote”.
It also expects that, if the Offer lapses and no higher offer or alternative proposal emerges, Units would in theory trade at a discount to the Offer consideration and its valuation, at least in the short term.
What the Offer means for Unitholders
Iris already controls RCT
Iris holds a Relevant Interest in 96.33% of Units as at 21 October 2026. Of this, 85.77% was acquired under its earlier bid, with the remainder arising from Unitholders who have already accepted the current Offer.
Iris may be entitled to compulsorily acquire remaining Units if it and its Associates hold a Relevant Interest of at least 96.45% during or at the end of the Offer Period, unless it obtains court approval to proceed at a lower threshold. Iris also owns 100% of the shares in Reef Corporate Services Limited (RCSL) and the Operator, acquired on 14 August 2026.
How a takeover bid and Target’s Statement work
A Target’s Statement is the formal response of the company being bid for. It sets out the board’s recommendation and the reasons for it.
An independent expert’s report must accompany it here because Iris’s interest in RCT exceeds 30% and Iris has representation on the RCSL board. Under the expert’s framework, an offer is “fair” if its value is equal to or greater than the value of the securities targeted. An offer is “reasonable” if it is fair.
Compulsory acquisition lets a bidder buy out remaining holders on the same terms once ownership thresholds are met. For this Offer, the relevant threshold is a Relevant Interest of approximately 96.45% of Units.
Acceptance is irrevocable, and the Offer is for all of a Unitholder’s Units only. Holders cannot accept for part of their holding.
Why accept: the case put by the Independent Directors
The Independent Directors listed the following reasons:
- Certain cash: the Offer is for 100% certain cash consideration, giving Unitholders the opportunity to crystallise cash value.
- Premium to undisturbed price: the Offer price represents a significant premium to the undisturbed trading price of Units before the Announcement Date.
- Limited liquidity: average daily trading volume in the 12 months to the Announcement Date was approximately 5,299 Units, about 0.01% of securities on issue.
- Minority position: remaining Unitholders would be minority investors, to the extent any Units are not acquired by compulsory acquisition, which may have limited liquidity.
- No Superior Proposal: none has emerged as at the date of the Target’s Statement.
The document also sets out reasons a Unitholder may consider not accepting:
- Acceptance means giving up participation in RCT’s future financial performance, including any increase in the Unit price or alternative proposals that may arise.
- A Superior Proposal could emerge, and accepting Unitholders could not withdraw to accept it.
- Acceptance may bring forward tax consequences, potentially including capital gains tax (CGT).
Key terms, timeline and next steps
Terms Unitholders should note:
- Payment: in the usual case, within one month of acceptance and no later than 21 days after the Offer closes.
- Brokerage: no brokerage fees for Units held in an Issuer Sponsored Holding that are delivered directly to Iris.
- Withdrawal: no entitlement to withdraw an acceptance once made.
Distributions are not expected to be determined or paid during the Offer Period, given the dates on which they are ordinarily determined and paid. For context, RCT reported a distributable profit of $10.820 million for 2025, with a total Unit distribution declared of 21.73 cents per Unit.
Iris has indicated in its Bidder’s Statement that it intends to have RCT removed from the official list of the ASX as soon as it is able to do so. Iris has also noted that future distributions may be lower than recent practice.
Iris is the Bidder in this transaction, and RCT is the target of the Offer. Unitholders with questions can call the Unitholder Information Line on 1300 077 160 from within Australia.
Should there be any further developments during the Offer Period, such as the emergence of a Superior Proposal, that would alter the Independent Directors’ recommendation, Unitholders will be notified through a supplementary Target’s Statement.
