Dr John Melki appointed to GSS Board as BCAL voices merger concerns
Shareholders approved Dr John Melki’s appointment to the Genetic Signatures Limited (ASX: GSS) Board at the Extraordinary General Meeting on 28 October 2026. BCAL Diagnostics Limited (ASX: BDX), a major shareholder in GSS, welcomed the result.
The other three resolutions requisitioned by BCAL were not passed.
BCAL welcomes the appointment but maintains its concerns about the proposed merger with Microba Life Sciences Limited (ASX: MAP). BCAL is an Australian healthcare company pioneering diagnostics for early detection of cancer.
For investors, the result gives a major shareholder a former insider’s voice in the Board’s consideration of GSS’s strategic options.
Jayne Shaw, BCAL Chair
“We welcome John’s appointment and believe his knowledge of GSS’s technology and commercial operations will be valuable to the Board. Our focus remains on achieving the best value for GSS and protecting the value of BCAL’s investment.”

Who is Dr Melki and what he brings to the GSS Board
Dr Melki’s background, as described by BCAL, includes:
- Served as GSS Chief Executive Officer and Managing Director from 2011 to 2024
- Joined GSS in 2003
- Knowledge of GSS’s technology and commercial operations
- Experience leading the commercialisation of its research and diagnostic products
BCAL believes this experience will make a valuable contribution to the Board’s consideration of GSS’s strategic options.
Why BCAL does not support the proposed Microba merger terms
On the information currently available, BCAL does not support the proposed merger terms. It does not consider they adequately reflect the value of GSS’s contribution to the combined business.
The merger remains subject to separate approvals and conditions. Under the revised terms, existing GSS shareholders would hold 40% of the combined company and Microba shareholders 60%.
The Genetic Signatures Microba merger terms first agreed in September 2026 centred on an all-scrip exchange of 0.654 new GSS shares per Microba share, with the combined group holding roughly $30 million in cash and term deposits.
| Item | GSS | Microba |
|---|---|---|
| Ownership of combined company under revised terms | 40% (GSS shareholders) | 60% (Microba shareholders) |
| Contribution per GSS’s Notice of Meeting addendum | Identified as contributing the larger share of the combined group’s historical net assets and cash and term deposits | n/a |
BCAL considers GSS shareholders have not been adequately informed about the transaction. It also says they have not been given sufficient time to consider the addendum before the GSS AGM.
BCAL considers shareholders need a fuller explanation of the valuation underpinning the proposed ownership split.
Jayne Shaw, BCAL Chair
“Our concerns about the proposed Microba merger terms remain. We do not believe they adequately reflect GSS’s contribution, and we are seeking a clearer explanation and independent assessment of what is proposed.”
What BCAL wants the GSS Board to disclose
BCAL considers the GSS Board should provide further information to all GSS shareholders on four points:
- Valuation and rationale: the valuation methodology and strategic rationale, including why the structure, described by GSS as a reverse takeover of GSS for ASX Listing Rule purposes, is preferable to alternative structures or a standalone strategy.
- Independent expert assessment: a report from the perspective of GSS shareholders, made available before the vote. The expert report contemplated in the addendum addresses only the interests of Microba shareholders and option holders, and will not be available until after GSS shareholders have voted.
- Sequencing of approvals: the order of shareholder approvals and transaction documents, including what further information will be available before GSS’s AGM. The indicative timetable places execution of the Scheme Implementation Deed and release of the scheme booklet after that meeting.
- Transaction costs: a breakdown of the $1.5 million estimated transaction costs in the pro-forma information, who bears them, further detail on integration costs and the costs of achieving the proposed synergies, and what transaction cost GSS will bear if the scheme is not implemented.
Together, these points frame the information gap BCAL says shareholders need closed to make a properly informed decision.
How a scheme merger and independent expert report work
An independent expert report is an outside assessment of a proposed deal, intended to help shareholders judge it before they vote. BCAL’s concern is that the report contemplated in the addendum covers only Microba shareholders and option holders, not GSS shareholders, and will arrive after GSS shareholders have voted.
A reverse takeover for ASX Listing Rule purposes is how GSS has described the proposed structure. BCAL wants the Board to explain why this structure is preferable to alternative structures or a standalone strategy.
What happens next for GSS shareholders
- GSS AGM on 16 November: GSS shareholders vote at this meeting. Per the indicative timetable, execution of the Scheme Implementation Deed and release of the scheme booklet come after the AGM, with no dates given.
BCAL’s stated focus remains achieving the best value for GSS and protecting the value of BCAL’s investment.
