Oversubscribed raise delivers $1.75m to fuel CurveBeam AI’s China push
CurveBeam AI Limited (ASX: CVB) has announced that its Shortfall Offer and further placement were well oversubscribed, with demand from Australian and international investors significantly exceeding available capacity. The Company has elected to accept total demand of A$1.75m, comprising A$1.39m under the Shortfall Offer and A$0.36m as a separate placement, both priced at A$0.018 per share.
Corporate Advisor Spark Plus Pte Ltd (Spark+) was engaged on 31 August 2026 to fill the Shortfall Offer, with the mandate resulting in demand that had to be scaled back due to the Company’s available placement capacity. The Shortfall Offer followed the SPP, which closed on 28 August 2026 and resulted in the issue of 33,675,039 shares at $0.018 per share, raising $606,150.70 against a maximum of 111,111,111 shares contemplated under the offer. The oversubscription outcome across the Shortfall Offer and further placement reflects a degree of investor confidence in CurveBeam AI’s near-term strategy.
Total capital raised reaches $7.36m
Combined with the earlier $5.0m institutional placement at $0.02 per share, the three tranches bring total funds raised to $7.36m:
- $5.0m placement at $0.02 per share
- $0.61m SPP at $0.018 per share
- $1.75m Shortfall Offer and further placement at $0.018 per share
Further demand under the Shortfall Offer was scaled back due to the Company’s available placement capacity.

FDA clearance adds regulatory weight to the growth story
Concurrent with the capital raise result, CurveBeam AI disclosed that its CT-based Bone Mineral Density (BMD) technology had received FDA 510(k) clearance. Chief Executive Officer Greg Brown described the clearance as providing a “strong regulatory foundation” for the next stage of the Company’s strategy, reinforcing the timing of the fundraise.
The Company sees significant potential to integrate bone quality assessment into both its weight bearing CT imaging platforms and its existing supine CT platforms, potentially broadening the clinical utility of its technology suite.
Greg Brown, Chief Executive Officer
“We thank our new and existing shareholders for their continued support. The FDA 510(k) clearance of our CT based Bone Mineral Density (BMD) technology this week was an important milestone for CurveBeam AI and provides a strong regulatory foundation for the next stage of our strategy. We see significant potential to integrate bone quality assessment into both our weight bearing CT based imaging platforms and existing supine CT platforms. The Company is progressing commercial opportunities across China, the United States and other international markets. We look forward to updating shareholders as these opportunities develop.”
What is weight bearing CT and why does it matter for investors?
CurveBeam AI’s flagship HiRise™ scanner performs weight bearing CT scans, meaning patients are imaged while standing and bearing their own body weight, which loads the joints in a natural position. It also performs traditional non-weight bearing scans. According to the Company, this provides a range of advantages over traditional CT or MRI devices, particularly for assessing musculoskeletal conditions.
The FDA clearance of the BMD technology is relevant in this context because it adds bone quality assessment as a data layer on top of the existing imaging capability. Layering this onto both weight bearing and supine CT platforms could expand the clinical use case of the HiRise™ and potentially broaden the addressable market the Company serves.
Proceeds earmarked for China launch and product development
The Company has outlined four stated uses for the total $7.36m in funds raised:
- Sales and marketing expenses, including China market launch preparation for the HiRise™
- Research and development costs, including product enhancements for the HiRise™
- Supply chain costs, including preparing for China market launch
- Working capital and expenses of the offer
China appears as the primary near-term commercial focus based on the announcement’s language, with two of the four stated use-of-funds categories referencing China market launch preparation directly. The Company is also progressing commercial opportunities in the United States and other international markets.
The WEGO Orthopaedics partnership, struck earlier in 2026 at a five-times premium to market price, established the commercial foundation for the China launch that the newly raised capital is now intended to fund.
What comes next
CurveBeam AI has indicated it will update shareholders as commercial opportunities across China, the US, and other international markets develop, though no specific timeline has been disclosed. With $7.36m in fresh capital now raised and FDA 510(k) clearance of its BMD technology secured, the Company enters its next phase with both the financial resources and a strengthened regulatory position to advance its commercial agenda.
