Janus Electric locks in A$7.68M placement to fuel North American growth
Janus Electric Holdings Limited (ASX: JNS) has received firm commitments to raise approximately A$7.7 million before costs through a private placement, providing fresh capital to support its expansion into North America.
The raise involves the issue of 32,000,000 new fully paid ordinary shares at A$0.24 per share. It follows a period of strong commercial momentum, including approximately A$55 million in new orders from the company’s North American order book recently announced on the ASX.
According to the company, the placement received strong support from “a number of Australia’s leading small cap institutional investment funds.” The placement is being completed in a single tranche and is not underwritten.

The New Shares will rank equally with the company’s existing fully paid ordinary shares on issue. The placement draws on Janus Electric’s available capacity under the ASX Listing Rules, with 17,377,483 shares issued under Listing Rule 7.1 and 14,622,517 shares issued under Listing Rule 7.1A.

Costs associated with the Placement
The capital will support North American infrastructure and delivery following the company’s recently announced approximately A$55 million in new orders from its North American order book.
The North American order book underpinning this raise grew rapidly in July 2026, with four California port drayage operators placing approximately A$45 million in conditional orders within a single week, lifting total contracted conversions to 112 across the US and Canada.

What is battery-swap heavy vehicle electrification?
Janus Electric describes itself as an Australian innovator in heavy vehicle electrification, offering a turnkey solution built around several integrated components. These include a patented battery swap platform, truck conversion kits, charging infrastructure and integrated fleet management software.
The company supports operations across New South Wales, Victoria, Queensland, South Australia and Western Australia, with international deployments active in the United States and Canada. Its Central Coast production facility underpins this national and international deployment strategy.
R&D finance facility extension
Separately from the placement, Janus Electric advised that it has renegotiated terms under its research and development finance facility with Rockford RDF Pty Ltd, originally announced on 9 March 2026. The parties have agreed to extend the repayment term of the facility from 30 April 2027 to 31 August 2027, with all other material terms remaining unchanged.
In consideration of the extension, the company will issue 333,333 fully paid ordinary shares to Rockford at an issue price of A$0.15 per share, totalling A$50,000, utilising available capacity under ASX Listing Rule 7.1. This share price relates solely to the Rockford consideration and is distinct from the A$0.24 issue price under the placement.

Curran & Co Pty Ltd acted as Lead Manager and Sole Bookrunner to the placement, while Lynx Advisors Pty Ltd acted as Co Manager. The Lead Manager will receive a fee equal to 6% of the gross proceeds of the placement, plus GST.
