Arena REIT updates market as Edge Early Learning centres move to new operators
Arena REIT has noted an announcement by the Administrator of Edge Early Learning (Edge) that it has entered into binding agreements or term sheets with six separate parties for the sale of a further 22 early learning centre businesses operated by Edge.
These transactions include the remaining seven Edge early learning centre businesses at Arena owned properties. Every remaining Edge business at an Arena property now has a proposed buyer, which is relevant to the rental income outlook for those centres.

What the proposed tenant transitions mean for Arena properties
Four proposed tenants identified
Arena has engaged with the Administrator on the four proposed tenants. The split across the Arena owned properties is:
- Montessori Academy at two SA centres
- Three experienced operators across the remaining five QLD properties
The announcement does not name the three QLD operators.
| Location | Centres | Proposed operator | Status |
|---|---|---|---|
| SA | 2 | Montessori Academy | Proposed |
| QLD | 5 | Three experienced operators | Proposed |
All arrangements remain subject to due diligence and approvals.
Rent continues while transactions progress
Rent is currently being received on all 27 Arena owned centres occupied by Edge. This applies while these proposed transactions and the proposed transaction with Goodstart Early Learning, announced on 7 October, are in progress.
The announcement does not disclose rent amounts.
Arena’s FY2026 guidance assumptions treated Edge rental income as zero from 1 August, so any rent that continues to be received while these transactions progress sits above the distribution floor the REIT has set for investors.
Early learning leases and assignments explained
An “assignment of leases” occurs when a new operator takes over an existing lease. The landlord, in this case Arena, must consent before the handover can proceed.
Landlord due diligence matters to investors because the quality of a tenant influences how reliably rent is paid. The sale of an early learning centre business also requires a “transfer of service approvals” from the regulator, which allows the new operator to run the centre.
Next steps, safeguards and Arena’s position
Conditions still to be met
Arena is currently undertaking due diligence on the proposed transactions as it considers its consent to the assignment of leases for the Arena owned centres. The transactions remain subject to:
- Confirmatory due diligence
- Final sale documentation
- Transfer of service approvals
- Assignment of leases
The four centres controlled by Arena
Of the four Edge centres currently controlled by Arena, one has executed lease documentation, and two have signed term sheets in place with Montessori Academy. These agreements remain subject to regulator approval.
The announcement does not state what is happening with the fourth centre.
Security held
Arena continues to reserve all legal rights in relation to the Edge portfolio.
Security over the Edge leases
Arena holds a bank guarantee and security deposits of approximately $4 million as security over the Edge leases.
