KMD Brands Limited has entered into an exclusivity agreement with Bluestar Alliance LLC, a US-based consumer brand group, as announced on 2 November 2026. The agreement permits Bluestar Alliance LLC to undertake confirmatory due diligence and continue discussions regarding a possible transaction to acquire all of the shares in the company.
KMD Brands (NZX/ASX: KMD) linked the update to its FY26 annual results announcement on 23 September 2026. In that announcement, the company said it had received a number of indicative approaches from external parties during its business review. The exclusivity agreement suggests the process has moved from multiple approaches to a single counterparty in confirmatory due diligence.
How the process reached this point
The company has framed the update as a follow-on to its earlier disclosure on non-binding indicative proposals. The sequence below uses only the facts in the announcement.
From multiple approaches to one counterparty
- 23 September 2026: In its FY26 annual results announcement, KMD disclosed it had received indicative approaches during its business review.
- The Board determined that further engagement with a limited number of those parties was appropriate.
- KMD entered into an exclusivity agreement with Bluestar Alliance LLC.
- Confirmatory due diligence and discussions are ongoing.

What an exclusivity agreement means for investors
Exclusivity, due diligence and proposals explained
An exclusivity agreement is an arrangement that allows one party to pursue a possible transaction with a company for a set period. Confirmatory due diligence is the stage where that party checks the company’s information before deciding whether to proceed.
Any counterparty in due diligence will also be examining the balance sheet, including the NZ$208 million refinance that extended KMD’s funding runway to October 2028 and tied part of the facility to covenant milestones.
A non-binding indicative proposal is an early expression of interest that does not commit either side. A binding proposal is a formal commitment that would follow further work.
Exclusivity is a step along the process, not a deal. The Board has not made, and the granting of exclusivity should not be taken as, a recommendation of any transaction.
