Swoop signs binding agreement to sell Sydney Fibre assets for about $4.5 million
Swoop Holdings (ASX: SWP) has entered into a binding Share Sale Agreement (“SSA”) for the sale of its Sydney-based Fibre assets, in what the company has labelled the Sydney Fibre divestment. The announcement was made on 23 October 2026.
The buyer is Xenith IG Australia Holdings Pty Ltd, a member of the Xenith Infrastructure Group (“Xenith”). Aggregate consideration is approximately $4.5 million.
A binding agreement gives the market a defined value for the Fibre assets, although completion remains subject to the conditions outlined below.

Strategy and use of proceeds
Simplifying the portfolio
Swoop described the transaction as part of its “ongoing strategy to simplify its operating portfolio, realise value from non-core assets and focus on its core consumer telecommunications businesses.”
Swoop is a national challenger telecommunications provider. Its dual brands, Swoop and Moose, offer mobile plans alongside NBN broadband.
The Sydney transaction follows the earlier Melbourne Fibre Project sale to the same buyer, Xenith, which removed the remaining capital expenditure obligations tied to the 282km network under construction.
Where the money goes
Net proceeds will be applied towards debt reduction and general working capital requirements. A stronger balance sheet would support the company’s stated strategic priorities.
The transaction is not expected to adversely affect Swoop’s ongoing operations or the continuity of services provided to customers.
Key deal terms at a glance:
- Buyer: Xenith IG Australia Holdings Pty Ltd, a member of the Xenith Infrastructure Group
- Consideration: approximately $4.5 million
- Use of proceeds: debt reduction and general working capital requirements
- Expected completion: Q3 FY27
The announcement does not disclose a debt figure, book value, gain or loss, or the revenue and earnings contribution of the Fibre assets.
Understanding asset divestments: why non-core sales matter
A divestment is the sale of a business unit or asset by a company. A Share Sale Agreement is a contract under which the buyer acquires the shares of the company that owns the assets, rather than the assets individually.
For investors in a challenger telco, selling non-core assets can matter because the proceeds may be used to repay debt, which can reduce financing obligations. It can also allow management to concentrate capital and attention on core operations.
The extent of any benefit depends on factors the announcement does not detail.

Completion conditions and timing
Completion is subject to customary conditions precedent, including FIRB approval pursuant to the Foreign Acquisitions and Takeovers Act. It is expected to occur in Q3 FY27, which covers January to March 2027 under the Australian financial year.
