Genetic Signatures and Microba explore merger to build scaled diagnostics group
Genetic Signatures (ASX: GSS) has confirmed it is in discussions with Microba Life Sciences (ASX: MAP) about combining the two businesses, an outcome of GSS’ previously announced strategic review that included actively pursuing opportunities to scale.
The parties are assessing a potential merger to create a leading, scalable ASX-listed infectious disease diagnostics group spanning the full continuum from rapid, first-line pathogen detection to microbiome profiling.
Discussions are at a preliminary stage and remain incomplete, with no firm or binding decision made to proceed. On a pro forma basis, the merged group would have FY2026 revenue of approximately A$29 million and combined cash and term deposits of approximately A$30 million as at 30 June 2026.

Why the two businesses fit together
Microba’s current product portfolio is focused on gastrointestinal (GI) diagnostics, which is complementary to GSS’ existing GI offering. The combination would broaden GSS’ capabilities across the diagnostic testing continuum.
GSS brings regulatory approved infectious disease panels for rapid first-line detection under its EasyScreen™ brand, built on its proprietary 3base® platform. Microba contributes clinical-grade gut microbiome testing and metagenomics profiling.
Together, the two product ranges would enable full-service microbiome testing spanning first-line pathogen detection through to detailed microbial community analysis.
Pasquale Rombola, Chair of Microba
“A merger would create a leader in microbiome and infectious disease diagnostics, with broader revenue and customer bases, and a materially stronger balance sheet to meet the significant global opportunity facing the merged group. We look forward to continuing our work together with the GSS team to assess and realise that opportunity.”
The strategic rationale for a potential merger
The disclosed strategic drivers behind the proposed combination centre on three areas:
-
A more sustainable financial and capital structure — the combined group would benefit from a streamlined cost base and corporate structure, with the potential to accelerate growth and pathway to profitability.
-
Broader global market access — both parties have strong partnerships with pathology networks, including GSS’ laboratory and hospital customers across Australia, the UK and Europe. Microba brings distribution relationships with Sonic Healthcare and SYNLAB, giving both product ranges a materially wider route to market.
The SYNLAB distribution partnership was recently upgraded to Microba’s clinical-grade Microbiome Explorer platform across European and Latin American markets, extending an existing six-year relationship that began when SYNLAB distributed Microba’s legacy test under its own myBiome brand.
- A differentiated infectious-disease offering — GSS’ rapid first-line detection combined with Microba’s metagenomics profiling would enable full-service microbiome testing.
For investors, the disclosed appeal lies in expanded route-to-market access through shared pathology channels and a potential pathway to profitability, both of which the companies have flagged as objectives of the discussions.

Understanding the diagnostics landscape
The proposed combination brings together two distinct but complementary areas of diagnostic testing.
GSS’ 3base® is a real-time Polymerase Chain Reaction (PCR) platform designed for high-volume hospital and pathology laboratories, allowing rapid screening for a wide array of infectious pathogens with a high degree of specificity.
Microba’s approach profiles the gut microbial community, providing clinical-grade insight into microbiome health. Beyond diagnostics, Microba also holds a therapeutics pipeline, including the Phase 2-ready MAP 315 asset for ulcerative colitis.
For investors, the logic centres on scale, shared pathology channels and a broader test menu, factors the companies suggest could strengthen competitive position and support a route to profitability, subject to a transaction being agreed.
What happens next
The discussions are presently at a preliminary stage and remain incomplete. No firm or binding decision has been made to proceed with any merger, and neither party is committed to proceeding.
Any transaction would be subject to further due diligence and the parties obtaining all required regulatory approvals, including any approvals required by ASX. There is no certainty that any terms of a transaction will be agreed. A further announcement will be made as appropriate.
The parties have engaged the following advisers:
-
GSS: AE Advisors (corporate adviser) and Gadens (legal adviser)
-
Microba: Latimer Partners (corporate adviser) and Thomsons (legal adviser)
Caroline Waldron, Chair of Genetic Signatures
“The proposed combined group offers synergies and the opportunity to scale. As we progress discussions on the proposed transaction our focus will be on delivering value to our shareholders.”
