Cogenic signs binding Heads of Agreement with SYNCH for up to US$10 million
Energy Technologies Limited (ASX: EGY) announced that its 100%-owned subsidiary, Cogenic Pty Ltd, has signed a binding Heads of Agreement (HoA) with SYNCH, the trading name of MEEP – Advanced Enterprise Communication Ltd. The HoA establishes a one-year commercial framework for Cogenic smart glasses.
Under the framework, SYNCH may place purchase orders with an aggregate value of up to US$10 million, but only following successful proof-of-concept acceptance. The agreement also provides for a US$250,000 proof-of-concept program covering ten field-operational smart-glasses units.
The company described the HoA as an important commercial milestone that creates a pathway for its wearable technology to undergo field validation and progress towards broader commercial deployment. Revenue under the framework depends on future purchase orders.

How the proof-of-concept and payments work
The proof-of-concept stage sets the timetable for the agreement. The table below summarises the main terms disclosed.
Key terms at a glance
| Item | Detail |
|---|---|
| Effective Date | 20 October 2026 |
| Delivery target | Within six months of the Effective Date |
| Master Agreement | Commercially reasonable efforts to execute within 60 days |
| First payment | US$50,000 |
| Balance payment | US$200,000 |
The US$50,000 first payment is due 21 business days after the earlier of execution of the Master Agreement or 60 days from the Effective Date. The US$200,000 balance is payable within 30 days after proof-of-concept acceptance.
Both payments count towards the US$10 million cap, which is inclusive of the proof-of-concept payments.
What the Master Agreement will settle
The Master Agreement is intended to finalise the following:
- Product specifications
- Pricing and volume tiers
- Forecasting and production arrangements
- Lead times
- Warranty and service levels
- The detailed scope and performance requirements applying to SYNCH’s exclusivity in Israel
Acceptance of the proof of concept will follow the testing process and objective criteria to be agreed in the Product Requirements Document and Master Agreement.
Smart glasses explained: why wearable field technology matters
Smart glasses are wearable devices that give users hands-free access to real-time communications, visual information and data. In field settings, this means a user can receive information without handling a separate screen or radio.
The proposed proof-of-concept solution is expected to include heads-up visual information, two-way communications, body-worn video functionality, software, connectivity and integration with command-and-control systems, subject to the agreed product requirements. Heads-up information is data displayed within the user’s line of sight.
Cogenic’s technology is designed to consolidate capabilities traditionally delivered through separate devices into a single lightweight wearable platform. The solution incorporates proprietary LBS and MEMS technology, including custom-manufactured MEMS components, within a lightweight smart-glasses platform designed for field use.
The proprietary LBS and MEMS technology behind the glasses traces back to the Maradin patent acquisition, which gave Cogenic a portfolio of 14 laser optical engineering patents and the development team that built a late-stage prototype platform.
For investors, consolidating devices is the commercial pitch. Whether it holds up in practice depends on the proof of concept.
Manufacturing, IP and expansion potential
Cogenic’s manufacturing model is designed to enable a rapid transition from proof of concept to commercial-scale production, with the majority of manufacturing intended to be undertaken externally. Detailed forecasting, production-capacity commitments and lead times will be agreed in the Master Agreement.
The HoA sets out the following intellectual property and exclusivity arrangements:
- Cogenic retains ownership of its existing and core intellectual property.
- Project-specific integration work, interfaces and customisations developed by SYNCH or the end customer will be owned by SYNCH.
- SYNCH has exclusivity in Israel, subject to the detailed scope and performance requirements to be agreed in the Master Agreement.
Following successful initial deployment, the parties intend to explore further opportunities across homeland security, law enforcement, medical first response, military, defence and other real-time field-operational applications. The US$10 million cap applies only to purchase orders under the current framework and does not prevent the parties from separately agreeing additional projects or orders. Any such projects or orders would be subject to separate written agreement.
The Amalgamated Vision licence is an earlier example of this defence and first-responder direction, with Cogenic earning a 5% royalty on gross sales from co-developed military-grade heads-up displays rather than direct hardware sales.
What investors should watch next
Several milestones will indicate whether the framework progresses:
- Master Agreement execution, with commercially reasonable efforts targeted within 60 days
- Delivery of ten units, targeted within six months of the Effective Date
- Proof-of-concept acceptance
- Purchase orders from SYNCH
The announcement also discloses caveats. Other than the proof-of-concept payment arrangements, SYNCH is not required to place a minimum volume of purchase orders. Given commercial sensitivity, the identity of the end customer and its specific requirements will not be disclosed at this time.
Energy Technologies said it will continue to update shareholders as further material developments arise. The company’s other operations include Bambach Wires and Cables and Dulhunty Engineering.
Curious About Cogenic’s US$10 Million Smart Glasses Opportunity?
Cogenic’s binding Heads of Agreement with SYNCH creates a pathway of up to US$10 million in purchase orders, starting with a US$250,000 proof-of-concept covering ten field-operational smart-glasses units. Revenue depends on proof-of-concept acceptance and future orders, so the coming milestones matter.
Investors wanting to understand the technology and the company behind it can visit the Energy Technologies website to explore Cogenic’s projects and wider operations. It is a practical starting point for tracking how this commercial framework develops.
