Wildcat Infrastructure LLC interest remains in play
Austal also remains in on-going dialogue with Wildcat Infrastructure LLC in relation to its non-binding indication of interest.
The non-binding indication of interest from the Wildcat-led syndicate was first disclosed with an enterprise value range of US$1.25-1.35 billion on a cash-free, debt-free basis, and was conditional on a four-week due diligence window.
A second interested party may keep competitive tension in the process. The announcement does not disclose the terms, size or intentions of the Wildcat Infrastructure LLC interest.
Understanding the process: what a binding offer means for investors
An indicative, non-binding and conditional offer signals interest but does not commit the bidder. A binding offer is the stage at which terms become firm.
Due diligence is a buyer’s detailed examination of a business before committing. For shareholders, the distinction matters because only a binding offer gives certainty on terms.
The steps described in the announcement are:
- Due diligence by Hanwha.
- Submission of a formal proposal.
- A binding offer.
| Party | Status | Nature |
|---|---|---|
| Hanwha Defence USA, Inc. | Due diligence period extended | Indicative, non-binding and conditional offer |
| Wildcat Infrastructure LLC | On-going dialogue | Non-binding indication of interest |
What comes next for Austal shareholders
Per the announcement, Hanwha is to submit a formal proposal, commercial negotiations are continuing, and Austal is obtaining professional advice on taxation implications.
Austal describes itself as Australia’s largest defence exporter and first ASX-listed shipbuilder, appointed Strategic Shipbuilder by the Australian Commonwealth Government in November 2024.
The Strategic Shipbuilder appointment has since translated into a $4 billion Landing Craft Heavy contract running to 2038, giving the Australian business contracted work that does not depend on the outcome of any Austal USA transaction.
Further updates will depend on future company announcements. No timing is disclosed.
