LPE acquires PowerHub, expanding into two new states with up to 4,642 service points
Locality Planning Energy Holdings Limited (ASX: LPE) has entered into a Share Sale Agreement to acquire 100% of PowerHub Pty Ltd, a Brisbane-based licensed energy retailer, adding up to 76 sites and 4,642 Service Points (SPs) to its portfolio.
The transaction extends LPE’s embedded network platform into two new states, Tasmania and South Australia, for total consideration of up to $5.803M, with settlement expected today, 13 August 2026.
The deal represents a disciplined growth step for the Queensland-focused energy provider, combining an immediate active revenue base with an already contracted development pipeline that supports future expansion.

Inside the transaction: a $2.8M upfront, pay-as-you-grow structure
The consideration is structured across two tranches. At completion, LPE will pay $2.8M in respect of the 30 active sites and 1,883 SPs, funded from existing cash reserves.
The balance is contingent. It is payable only as service points across the pipeline of 46 sites and 2,759 SPs are activated within five years of the completion date. This structure ties the bulk of any further payment directly to realised growth rather than upfront outlay.

For LPE, the acquisition represents an 18.9% increase in sites and an 11.6% increase in SPs. Importantly, these figures exclude the SPs announced on 15 July 2026 as part of the three residential development partnerships expanding LPE’s FY27 growth pipeline, so the two updates should not be double-counted.
The PowerHub pipeline figures are also separate from those tied to LPE’s three residential development partnerships announced on 15 July 2026, which target more than 3,000 homes and 4,700 service points across 18 sites under long-term supply agreements.
The company describes the pipeline as an “already contracted growth pipeline”, adding scalable developer relationships that support its growth trajectory.
Why embedded networks matter for investors
An embedded network is a private energy network focused on embedded network services to residential communities, including strata and land lease communities, through long-term supply agreements that generate strong recurring revenue.
LPE delivers a multi-utility offering across its broader portfolio, spanning electricity, hot water, solar, battery, EV charging and smart metering, supplied through long-term agreements. Each activated service point functions as a recurring-revenue node, and activation of the contracted pipeline grows that base over time.
Integration and what comes next
The parties have agreed to an integration plan. The sellers of PowerHub will provide certain transitional services to ensure a smooth transition, with a complete handover to LPE expected by 30 September 2026.
LPE will also maintain an enduring relationship with PowerHub’s key personnel, retaining the developer relationships PowerHub has built while extending the company’s capability. Any further payments remain contingent on the activation of pipeline service points over the next five years.
