Spacetalk Ltd (ASX: SPA) has announced board renewal and Chair succession, with the changes taking effect at the conclusion of its 2026 Annual General Meeting (AGM) on 19 November 2026. The Board will reduce from five to three Directors.
The three headline changes are:
- Non-Executive Chair Mr Georg Chmiel will step down.
- Non-Executive Director the Hon. Mike Rann AC will step down.
- Non-Executive Director Mr Andrew Grover will succeed Mr Chmiel as Chair.
The smaller Board reflects the Company’s current scale and stage of development. The handover is planned and comes from within the existing Board.
Why the directors are stepping down
Mr Chmiel advised the Board of his decision to step down for personal and family reasons. Mr Rann’s decision was influenced by his taking on additional international responsibilities.
Their roles will not be replaced, as the Board decided to reduce its size from five to three Directors, which it considers appropriate for the Company’s current operations.
The Board confirmed that neither retirement is related to the performance of the Company, the performance of either Director, or any disagreement with the Board or management. There are no matters in connection with their retirement that need to be brought to the attention of shareholders.
Continuity under Andrew Grover
Mr Grover has served as a Non-Executive Director since 8 April 2026. He will assume the role of Chair from the conclusion of the 2026 AGM.
A transformation led by the outgoing directors
Mr Chmiel and Mr Rann both joined the Board on 1 July 2022. During their tenure, Spacetalk moved from a hardware business to a software-led business.
The software-led model is most visible in the Vodafone family safety deal, which puts a co-branded app in front of postpaid mobile customers and targets repeatable telco partnerships overseas.
Andrew Grover, speaking on behalf of the Board
“…Georg has led the Board through the transition to a software-led business with clarity and discipline, and Mike has brought deep experience in government, stakeholder engagement and international relationships. We wish them both well.”

What a software-led Spacetalk means for governance
A Non-Executive Chair leads the Board and oversees management on behalf of shareholders. Board size and structure matter to investors because they shape how directors oversee the company and hold management to account.
Spacetalk develops and sells hardware and software to provide safety at every stage of life. Its offering includes Australia’s best-selling Kids Smartwatches (GFK Report July 2024: Total Sales of Kids Smartwatch in Australia), Spacetalk Mobile, Spacetalk App and Adult Wearables.
On the mobile side, the TPG Telecom MVNO agreement moves Spacetalk Mobile customers onto a wholesale network covering 99% of the population while the company keeps its brand, pricing and customer relationships.
What happens next for Spacetalk
- 2026 AGM on 19 November 2026: the Board changes take effect at its conclusion, with Mr Chmiel and Mr Rann stepping down and Mr Grover becoming Chair.
