Terms and Conditions
StockWire X Pty Ltd – All Rights Reserved (ACN: 688 129 213)
A subsidiary of AiGentic Group Pty Ltd
These Subscription Terms and Conditions (“Subscription Agreement”) govern the provision of subscription-based services by StockWire X Pty Ltd (“StockWire X”, “we”, “our”, or “us”) and apply to all Corporate Clients who subscribe to our promotional article generation and distribution services.
This Subscription Agreement should be read in conjunction with our general Terms of Use and Privacy Policy.
Definitions
Corporate Client: An ASX-listed company or its authorised representative that subscribes to StockWire X’s B2B SaaS promotional services. Corporate Clients engage StockWire X to produce investor-focused media content following the release of price-sensitive ASX announcements.
Services: AI-driven multi format content generation and multi-platform content distribution.
Subscription Period: The recurring billing cycle selected by the Corporate Client (monthly, quarterly, or annually).
Platform: The StockWire X website, and all related technology infrastructure used to deliver our services.
By subscribing to our services, you acknowledge that you are an authorised representative of the Corporate Client with authority to bind the company to these terms, and you agree to be bound by this Subscription Agreement.
1. Service Description
1.1 Promotional Article Services
StockWire X provides Corporate Clients with:
- AI-Generated Content Creation: Transformation of ASX announcements into multi media content
- Multi-Platform Distribution: Publication across StockWire X website, and social media channels
- Real-Time Processing: Multi-media content generation and distribution within minutes of ASX announcement release
- Priority Support: Dedicated account management and technical assistance
1.2 Technology Licensing
Our services utilise proprietary AI technology licensed from AiGentic Labs Pty Ltd, including:
- Natural language processing algorithms
- Multi-LLM content generation workflows
- ASX announcement analysis systems
- Automated distribution mechanisms
1.3 Editorial Independence
While Corporate Clients commission our services, StockWire X maintains complete editorial independence:
- Articles are generated by our AI systems based on factual ASX announcement data
- Clients cannot control, edit, or approve content prior to publication
- We reserve the right to decline services that compromise our editorial integrity
- Content maintains an objective, fact-focused tone consistent with our brand standards
2. Onboarding & Operational Procedures
2.1 Welcome & Account Setup
Upon successful subscription to StockWire X’s promotional services, you will receive:
- Welcome Email: Confirmation of your subscription tier, billing cycle, and service commencement date
- Account Credentials: Login details for your StockWire X dashboard to access and account management
- Contact Verification: Confirmation of your registered contact details on file
Current Contact Details:
We will maintain the following information for service delivery and communications:
- Primary Email: [Your registered email address]
- Secondary Email: [Optional – for billing/compliance teams]
- Mobile Number: [Optional – for urgent service notifications]
- Authorized Representative: [Primary account holder name]
Updating Contact Information:
If any contact details require updating, please email admin@stockwirex.com immediately or your dedicated account manager.
Accurate contact information ensures:
- Timely receipt of article publication notifications
- Important service updates and platform announcements
- Billing confirmations and tax receipts
You may also update contact details through your Account Dashboard under “Account Settings.”
2.2 Understanding How Our Service Works
To ensure a smooth partnership and set clear expectations, please review the following operational details:
Subscription & Billing Operations:
- StockWire X operates as a Software-as-a-Service (SaaS) platform with recurring billing cycles
- Cancellations must be submitted before your next billing period to avoid automatic renewal
- No refunds are provided for cancellations made after a billing period has commenced (except within the 7-day satisfaction guarantee window)
- Your subscription rate is locked in at signup and remains unchanged until cancellation, even as we may adjust pricing for new subscribers
- All transactions generate a tax invoice/receipt, which will be emailed to your registered address and stored in your Account Page
- You can add your accounts team as a secondary recipient for tax receipts through your account settings
Payment Processing:
- For Direct Debit/Bank Transfer payments, service coverage commences once payment has cleared
- Credit card payments via Stripe are processed immediately, with instant service activation
- An active subscription is required to maintain article/video generation and distribution services
Company Information & Data Accuracy:
- Our company metrics, financial data, and announcement information are sourced directly from the ASX
- If you identify any data anomalies in published articles, please notify us immediately at admin@stockwirex.com so we can rectify them
- Cash positions are extracted automatically, please alert us to any inaccuracies for prompt correction
- If you change your company code (ASX ticker), name, or corporate structure, you must notify us immediately to ensure continuity of service and accurate article generation, if you do not notify us, your content will not be picked up and redistributed through our systems and we can not be held responsible.
Article Coverage & Announcements:
- Our AI systems monitor ASX announcements in real-time for all subscribed companies
- If any price-sensitive announcements are missed or not processed, please contact admin@stockwirex.com or your dedicated account manager immediately
- Articles are generated automatically based on announcement significance and our editorial algorithms
- Not all announcements may warrant article generation (e.g., routine administrative filings, minor clerical updates)
Communication & Support:
- All service correspondence will be sent to your registered email address
- Important notifications include: subscription renewals, platform updates, and performance reports

2.3 Content Distribution Strategy & Timing
Maximizing Article Impact:
To ensure your announcements receive maximum visibility and impact across our platform, social media channels, and investor audience, please consider the following best practices:
Big News Blast – EDM Campaign Strategy:
Our Big News Blast service is a premium email direct marketing (EDM) campaign distributed to our engaged investor database. To maximize effectiveness:
- 24-Hour Advance Notice Required: Provide our team with at least 24 hours’ notice of significant upcoming announcements
- This advance notice allows us to:
- Prepare your EDM campaign content for maximum effectiveness
- Coordinate distribution timing immediately following your ASX release
- Maximise both reach and investor engagement
- Ensure strategic messaging alignment
Important: Big News Blasts Reserved for Material Announcements
- Big News Blasts are reserved exclusively for genuinely significant announcements to maintain their impact and credibility with our investor audience
- Appropriate announcements include: the significance of the announcement will be determined by our management team at their discretion
- Routine announcements (quarterly reports, administrative updates, minor operational changes) are not suitable for Big News Blast treatment
Pre-Market Scheduling Critical:
- Big News Blasts must be scheduled pre-market open (post your announcement being made to the ASX) to preserve their effectiveness and maximise investor attention
- Next-day blasts are strictly not permitted – timing coordination is essential for optimal impact
- Pre-market coordination (before 10:00 AM AEST) generally achieves higher investor visibility and engagement
Post-Release Article Requests:
- Articles requested or promoted after an announcement has already been market-absorbed typically yield significantly reduced engagement compared to immediate real-time coverage
- We strongly recommend coordinating with our team in advance for material announcements rather than requesting retrospective promotion
- Our automated systems capture all announcements in real-time for standard article generation, but Big News Blast treatment requires advance planning
2.4 Service Quality & Editorial Standards
Content Generation Process:
- All articles are generated using our proprietary AI technology licensed from AiGentic Labs Pty Ltd
- Content maintains strict editorial independence and factual accuracy based on ASX announcement data
- Articles are designed to be investor-focused, SEO-optimized, and comprehension-level accessible
- We employ multi-LLM verification processes to ensure quality and accuracy
Quality Assurance:
- If you believe an article contains factual inaccuracies, please notify your account manager or admin@stockwirex.com imediately for prompt correction
- We will investigate and correct genuine errors promptly (typically within 4 business hours)
- Editorial opinions and analysis are not subject to client approval or modification (see Section 1.3)
- We maintain the right to decline or remove content that violates our editorial standards or regulatory obligations
Article Ownership & Distribution Rights:
- Corporate Clients receive a non-exclusive, royalty-free, perpetual license to reproduce commissioned articles (see Section 8.2)
- You may share articles through your own channels, including:
- Your corporate website and investor relations pages
- Social media accounts and investor newsletters
- Email communications with shareholders and analysts
- Inclusion in ASX announcements or presentations (where appropriate)
2.5 Subscription Continuity & Service Interruptions
Maintaining Uninterrupted Service:
- Your subscription must remain active and in good standing for continuous article coverage
- Payment failures, disputes, or account suspensions will immediately halt article generation
- To avoid service interruption:
- Ensure payment methods are current and valid
- Monitor expiration dates on credit cards
- Maintain sufficient funds for automatic billing
- Respond promptly to failed payment notifications
Service Suspension Scenarios:
Service may be temporarily suspended or terminated for:
- Failed payments after multiple retry attempts (see Section 3.5)
- Terms of Use violations or fraudulent activity
- ASX delisting or trading suspensions
- Non-payment of outstanding invoices exceeding 30 days
- Chargeback disputes pending resolution
- Change of ASX code without notification
Reactivation Process:
- Suspended accounts may be reactivated by:
- Clearing all outstanding payment obligations
- Updating payment methods to valid options
- Resolving any Terms of Use violations
2.6 Tax Receipts & Financial Documentation
Automatic Tax Receipt Issuance:
- All subscription payments automatically generate a tax invoice/receipt compliant with Australian Taxation Office requirements
- Receipts are emailed to your registered address within minutes of payment processing
- Historical receipts are stored in your Account Dashboard under “Billing History” for easy access
GST & Tax Compliance:
- GST (10%) is automatically added to invoices for Australian-registered companies with valid ABN
- Tax receipts include all required information: ABN, invoice number, itemised charges, GST breakdown
Adding Secondary Recipients:
Corporate Clients often need billing documentation sent to multiple recipients:
- Accounts/Finance Teams: Add secondary email addresses through Account Settings
- Compliance/Legal Teams: Include additional recipients for audit trail purposes
- Investor Relations Teams: Ensure IR professionals receive service confirmations
To add secondary billing recipients:
- Log into your StockWire X Account Dashboard
- Navigate to “Account”
- Add email addresses under “Additional Tax Receipt Recipients”
- Save changes (future receipts will be sent to all listed addresses)
Alternatively, email admin@stockwirex.com with recipient details and we will update your account manually.
3. Subscription Pricing
3.1 Subscription Service
StockWire X operates on a tiered B2B SaaS model with multi level plans. The price you sign up at is grandfathered in until your subscription is cancelled for any reason.
4. Subscription Terms, Payment & Billing
4.1 Subscription Commencement
- Subscriptions commence immediately upon successful payment processing
- You will receive email confirmation of your subscription tier, billing cycle, and renewal date
- Access to services is activated imediately upon payment receipt
- Trial periods (if applicable) are specified at sign-up and limited to one per company
4.2 Payment Processing
- All payments are processed securely through Stripe, our third-party payment gateway
- Subscription management is powered by MemberPress platform integration
- Accepted payment methods: Credit cards (Visa, Mastercard, American Express), debit cards, and approved corporate payment solutions
- Payment information must be accurate and current at all times
- You authorise StockWire X and Stripe to store your payment details for recurring billing
4.3 Billing Cycles & Advance Payment
- All subscription fees are charged upfront and in advance of each subscription period
- Monthly subscriptions: Charged on the same calendar day each month
- Quarterly subscriptions: Charged every three months from the initial subscription date
- Annual subscriptions: Charged once per year on the anniversary of subscription
- If a billing cycle date falls on a day that does not exist in a given month (e.g., 31st), billing will occur on the last day of that month
4.4 Automatic Renewal
IMPORTANT: By subscribing, you explicitly agree to automatic renewal.
- All subscriptions automatically renew for the same term you originally selected (monthly, quarterly, or annually) unless cancelled prior to the renewal date
- You will be charged automatically using your stored payment method at the start of each new billing cycle
- Renewal notices will be sent via email at least 7 days before each renewal date
- By subscribing, you authorise StockWire X to automatically charge your payment method for subsequent subscription periods
- You may cancel automatic renewal at any time through your Account Dashboard or by contacting support
4.5 Failed Payments
- If a payment fails, we will attempt to process it up to three times over a 7-day period
- You will receive email notifications of failed payment attempts
- Services may be suspended if payment cannot be processed after three attempts
- Account reinstatement requires clearing all outstanding balances plus any applicable fees
4.6 Price Changes
- StockWire X reserves the right to modify subscription pricing with 30 days’ written notice
- Price changes will not affect existing subscribers until their next renewal date after the notice period
- Continued use of services after a price change constitutes acceptance of the new pricing
- You may cancel your subscription before the new pricing takes effect to avoid the increase
5. Refund Policy
5.1 Overview
StockWire X operates a strict limited refund policy to ensure fair treatment of all Corporate Clients while maintaining service sustainability. This policy is designed to comply with Australian Consumer Law while protecting against abuse and fraud.
Key Principle: All subscription fees are non-refundable after the initial 7-day cancellation period, except where required by law.
5.2 7-Day Satisfaction Guarantee
We offer a limited satisfaction guarantee for new subscribers:
- Eligibility: First-time subscribers or subscribers upgrading to a higher tier
- Window: Full refund available if cancellation occurs within 7 calendar days of initial purchase or renewal
- Process: Refund requests must be submitted via your Account Dashboard or by emailing admin@stockwirex.com
- Processing Time: Approved refunds are processed within 5-10 business days to the original payment method
- Service Access: Upon refund approval, service access terminates immediately
- One-Time Benefit: The 7-day refund window applies once per company and cannot be repeatedly claimed through multiple subscriptions
5.3 Strict No-Refund Policy After 7 Days
After the 7-day satisfaction guarantee period expires, all fees are strictly non-refundable.
You will NOT receive a refund or partial refund for:
- Unused subscription time if you cancel mid-cycle
- Unused Big News blasts (EDM’s) or service allocations
- Service downgrades to a lower tier
- Dissatisfaction with article content or distribution results
- Changes in your company’s circumstances or business needs
- Duplicate payments (except in cases of clear processing errors on our part)
- Voluntary cancellation at any point after the 7-day window
- Involuntary service termination due to Terms of Use violations
By subscribing, you explicitly acknowledge and agree that this no-refund policy is legally binding and was made clear to you at the time of purchase.
5.4 Exceptions to No-Refund Policy
Refunds after the 7-day period may be issued ONLY in the following exceptional circumstances:
- Australian Consumer Law Rights
- Where services are not provided with due care and skill
- Where services are not fit for the disclosed purpose
- Where we materially breach these terms and fail to remedy within 30 days of written notice
- Where services are not delivered as described in our service specifications
- Technical or Service Failures
- Complete service outage lasting more than 72 consecutive hours (excluding scheduled maintenance)
- Our failure to generate or distribute contracted minimum article volumes due to technical failure on our part
- Demonstrable security breach affecting your company’s data caused by our negligence
- Processing Errors
- Clear duplicate charges caused by payment processing errors (verified through Stripe)
- Billing for a service tier not actually selected by the client
- Unauthorised charges after documented cancellation
5.5 Refund Request Process
To request a refund under the 7-day guarantee or exceptional circumstances:
- Submit Written Request: Email admin@stockwirex.com with:
- Company name and account details
- Reason for refund request
- Supporting documentation (if claiming exceptional circumstances)
- Original payment receipt or invoice number
- Review Period: We will review your request within 5 business days
- Decision Notification: You will receive written notification of approval or denial
- Appeal Process: Denied requests may be appealed by providing additional documentation
- Processing: Approved refunds are processed within 5-10 business days
5.6 Partial Refunds & Pro-Rata Credits
StockWire X does not provide:
- Partial refunds for unused subscription time
- Pro-rata credits for mid-cycle cancellations
- Refunds based on underutilization of article allocations
- Credits for service downgrades
Exception: In cases where we materially fail to deliver contracted services, we may offer pro-rata credits at our sole discretion.
5.7 Anti-Money Laundering (AML) Compliance
In accordance with Australian AML/CTF regulations:
- Refunds exceeding $5,000 AUD within a 6-month period require enhanced identity verification
- We may request additional documentation for high-value refunds, including:
- Proof of company registration (ABN/ACN verification)
- Authorised representative identification
- Legitimate business purpose documentation
- Suspicious transaction patterns may be reported to AUSTRAC as required by law
- We reserve the right to deny refunds that appear connected to money laundering or fraud
5.8 Cancellation Without Refund
You may cancel your subscription at any time, but:
- Cancellation does NOT entitle you to a refund after the 7-day period
- Services will continue until the end of your current billing cycle
- You will retain access to paid services until the subscription period expires
- Automatic renewal will be disabled upon cancellation
- Cancelled subscriptions cannot be reinstated at previous pricing if rates have increased

6. Chargebacks, Payment Disputes & Fraud Prevention
6.1 Chargeback Policy
Important: By subscribing to StockWire X services, you explicitly waive your right to file chargebacks on valid transactions where you have agreed to these Terms and Conditions.
A chargeback is a forced reversal of a transaction initiated through your credit card issuer or bank. Chargebacks are intended for fraudulent or unauthorized transactions, NOT for disputes over services you legitimately purchased.
6.2 When Chargebacks Are Appropriate
You may legitimately file a chargeback only if:
- You did not authorize the transaction (fraudulent use of your payment method)
- We charged you after you cancelled and your cancellation was confirmed
- You were charged an incorrect amount that we refuse to correct
- You did not receive the services you paid for and we have not responded to your support requests
6.3 Inappropriate Chargeback Usage
Do not file a chargeback for:
- Disputes over article quality or content (not grounds for chargeback)
- Buyer’s remorse or change of business circumstances
- Forgetting about automatic renewal (you agreed to this in writing)
- Desire for a refund outside the 7-day policy
- Dissatisfaction with return on investment or business results
Filing inappropriate chargebacks constitutes fraud and will result in legal action.
6.4 Our Chargeback Defense Process
If you file a chargeback, StockWire X will vigorously defend by providing Stripe and your financial institution with:
- Proof of Explicit Agreement:
- Timestamped acceptance of these Subscription Terms at sign-up
- IP address and device information from subscription creation
- Email confirmations sent to your registered address
- Transaction Documentation:
- Detailed invoice and payment receipts
- Records of services provided (articles generated, distribution completed)
- Usage logs demonstrating active service utilization
- Communication Records:
- All email correspondence between your company and StockWire X
- Support tickets and resolution attempts
- Cancellation requests (or lack thereof)
- Terms Acknowledgment:
- Documented agreement to our no-refund policy
- Evidence of 7-day refund window disclosure
- Proof of automatic renewal authorization
6.5 Consequences of Chargeback Filing
If you file a chargeback:
Immediate Actions:
- Your account access will be suspended immediately pending dispute resolution
- All active services and article generation will cease
- Outstanding contractual obligations remain enforceable
If Chargeback Is Successful (You Win):
- Account will remain permanently terminated
- You will be prohibited from re-subscribing to StockWire X services
- Your company will be added to our internal fraud prevention database
If Chargeback Is Denied (We Win):
- Account reinstatement requires payment of all outstanding amounts
- Future subscriptions may require alternative payment methods or upfront annual payment
If Fraudulent Chargeback Is Determined:
- We may pursue legal action to recover amounts owed plus legal fees
- Matter may be reported to credit agencies and fraud prevention services
- Corporate reputation damage may occur through public disclosure
6.6 Proper Dispute Resolution Process
Before filing a chargeback, you must:
- Contact Us Directly: Email admin@stockwirex.com with detailed explanation of the issue
- Allow Response Time: Give us 5 business days to investigate and respond
- Engage in Good Faith Negotiation: Work with our team to resolve the matter
- Exhaust Internal Remedies: Follow our refund request process if applicable
We are committed to fair resolution and will work with you in good faith to address legitimate concerns. The vast majority of disputes can be resolved through direct communication.
6.7 Fraud Prevention Measures
To protect against fraudulent activity, we implement:
- Real-time payment verification through Stripe’s fraud detection systems
- IP address and device fingerprinting at subscription
- Velocity checks to prevent rapid subscription cycling
- Enhanced verification for high-value transactions
- Machine learning algorithms to identify suspicious patterns
Accounts flagged for potential fraud may require:
- Additional identity verification documents
- Video verification calls with authorised representatives
- Alternative payment methods (e.g., bank transfer for high-value subscriptions)
7. Trial Periods (If Applicable)
7.1 Trial Availability
- Free trial offers may be available for new Corporate Clients at StockWire X’s discretion
- Trial periods are limited to one per company (determined by ABN/ACN or corporate email domain)
- Trial durations and included services are specified at the time of offer
- Trials are provided to allow evaluation of our services before financial commitment
7.2 Trial Terms & Conversion
- Payment method must be provided at trial sign-up (card will not be charged during trial)
- If you do NOT cancel before the trial ends, your subscription automatically converts to a paid plan
- The full subscription fee for your selected tier will be charged immediately upon trial expiration
- Cancellation during trial period prevents any charges and terminates access
- Trial period usage counts toward your subscription allocation if you convert to paid
7.3 Trial Abuse Prevention
We actively monitor for trial abuse, including:
- Multiple trial sign-ups using different email addresses for the same company
- Repeated trials using variations of company names or related entities
- Systematic trial cycling to avoid payment
Trial abuse will result in:
- Immediate account termination without notice
- Denial of all future trial offers
- Potential blocking of company domain from services
- Possible legal action for fraudulent activity
8. Access to Services & Account Management
8.1 Corporate Client Responsibilities
As a Corporate Client, you must:
- Provide Accurate Information:
- Complete and current company details (ABN/ACN, registered address)
- Authorised representative contact information
- Accurate billing and payment information
- Service tier selection appropriate to your needs
- Maintain Account Security:
- Keep login credentials confidential and secure
- Implement reasonable security measures for account access
- Immediately notify us of any suspected unauthorized access
- Ensure only authorised representatives access the account
- Update Information Promptly:
- Notify us of changes to billing details within 5 business days
- Update payment methods before expiration to prevent service disruption
- Inform us of changes to authorised representatives
- Maintain current contact email for service notifications
- Comply with Platform Policies:
- Adhere to all Terms of Use and acceptable use policies
- Provide accurate ASX announcement information for article generation
- Respect our editorial independence and content guidelines
- Use services only for legitimate business purposes
8.2 Account Sharing & Restrictions
- Each subscription is licensed to a single ASX-listed company
- Login credentials may be shared among authorised employees of the Corporate Client
- Sharing access with third parties, consultants, or related entities is prohibited without written approval
- Multi-company groups must purchase separate subscriptions for each entity
Violations may result in:
- Immediate account suspension
- Forced upgrade to enterprise tier with multi-entity pricing
- Termination without refund
8.3 Service Access & Uptime
- We strive to maintain 99.5% uptime for our Platform (excluding scheduled maintenance)
- Scheduled maintenance will be announced at least 48 hours in advance when possible
- Emergency maintenance may occur without advance notice
- Service credits may be issued for extended outages exceeding 72 consecutive hours
We are NOT liable for downtime caused by:
- Third-party service failures (ASX, internet infrastructure, AWS/cloud providers)
- Cyber attacks, DDoS attacks, or security incidents beyond our control
- Force majeure events (natural disasters, government actions, etc.)
- User error or client-side technical issues
9. Intellectual Property Rights
9.1 StockWire X Proprietary Content
All AI technology, algorithms, Platform infrastructure, and branding are owned by StockWire X, AiGentic Group, and our licensors:
Technology & Systems:
- Proprietary AI article generation workflows (licensed from AiGentic Labs Pty Ltd)
- ASX announcement analysis algorithms
- Multi-LLM content generation processes
- Platform software and user interfaces
- Analytics and reporting systems
Brand & Trademarks:
- “StockWire X” name and logo
- All associated branding and design elements
- Marketing materials and promotional content
9.2 Client Rights to Commissioned Content
Corporate Clients are granted a non-exclusive, royalty-free, perpetual license to:
- Reproduce commissioned articles on their own websites and investor materials
- Redistribute content through their own communication channels
- Share articles with investors, analysts, and media
- Include content in ASX announcements or financial reports
- Archive and preserve articles indefinitely
Restrictions on Client Use:
- Must maintain original attribution to StockWire X (unless otherwise agreed in writing)
- Cannot modify articles to misrepresent our analysis or conclusions
- Cannot create derivative AI tools using our content as training data
- Cannot sublicense or sell our content to third parties
9.3 StockWire X Rights
We retain all rights to:
- Publish commissioned articles on our Platform and distribution channels
- Use articles for marketing, promotional, and educational purposes
- Aggregate anonymized data from client engagements for research
- Showcase client relationships (subject to confidentiality agreements)
- Modify or remove published content if it violates our standards
9.4 Third-Party Content
- ASX announcement data is sourced from public regulatory disclosures
- Market data is licensed from authorized providers
- Client logos and company information are used with implied consent for service delivery
- Third-party trademarks are property of their respective owners
10. Disclaimers & Limitation of Liability
10.1 Investment Disclaimers

- All articles and analysis are for informational and promotional purposes only
- Content is NOT personal investment advice or recommendations to buy/sell securities
- Articles are editorial opinions based on public ASX announcements

11. Termination & Suspension
11.1 Termination by Client
You may terminate your subscription at any time by:
Cancellation Methods:
- Logging into your Account Dashboard and selecting “Cancel Subscription”
- Emailing admin@stockwirex.com with cancellation request
- Contacting your dedicated account manager (Enterprise tier)
Effect of Cancellation:
- Automatic renewal is disabled immediately
- Services continue until the end of your current billing cycle
- No refunds are issued for unused subscription time (except within 7-day window)
- Access to Platform and archived content terminates at cycle end
- Account data may be retained per our Privacy Policy
11.2 Termination by StockWire X
We may terminate or suspend your account immediately for:
Material Violations:
- Breach of these Subscription Terms or general Terms of Use
- Provision of false or fraudulent information
- Payment fraud or repeated chargeback abuse
- Sharing account access with unauthorized parties
- Using services for illegal purposes or market manipulation
Payment Issues:
- Failure to pay outstanding invoices after 30 days
- Repeated failed payment attempts without resolution
- Suspicious transaction patterns flagged by fraud detection
Regulatory Concerns:
- ASX listing suspension or delisting of your company
- ASIC enforcement actions affecting your corporate status
- Violation of securities laws in connection with our services
Business Reasons:
- Discontinuation of services (with 60 days’ notice)
- Your company exits our target non-resource sectors
- Extreme underutilization suggesting bad faith subscription
Effect of Our Termination:
- Immediate cessation of services and Platform access
- No refund of any fees paid (except where required by law)
- Outstanding invoices remain due and payable
- We may publish notice of service discontinuation on affected articles
11.3 Survival of Terms
The following provisions survive termination:
- Payment obligations for services rendered
- Intellectual property rights and licenses granted
- Disclaimers and limitation of liability
- Indemnification obligations
- Dispute resolution and governing law provisions
11.4 Data Retention Post-Termination
After termination, we may:

- No refund is provided for objection-based cancellations outside the 7-day window

- Obtaining necessary approvals for promotional communications (if required)
- Maintaining proper corporate governance and investor relations practices
StockWire X is not:
- Your investor relations representative or spokesperson
- Responsible for ASX regulatory compliance on your behalf
- A substitute for professional IR or legal counsel
- Liable for ASX penalties arising from disclosure breaches
14.2 ASIC Regulatory Framework
Our services are designed to comply with:
- Australian Securities and Investments Commission (ASIC) guidance
- Corporations Act 2001 requirements for financial services
- Competition and Consumer Act 2010 consumer protection provisions
- Spam Act 2003 electronic messaging regulations
Disclosure:
- We are NOT an AFSL holder or authorised representative
- We do NOT provide personal financial advice requiring licensing

15. Dispute Resolution & Governing Law
15.1 Governing Law
These Subscription Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.
You agree to submit to the exclusive jurisdiction of the courts of New South Wales for resolution of any disputes arising from these Terms or your use of StockWire X services.
15.2 Mandatory Dispute Resolution Process
BEFORE initiating legal proceedings, you MUST:
Step 1: Direct Communication (5 Business Days)
- Email admin@stockwirex.com with detailed description of the dispute
- Include supporting documentation and proposed resolution
- Allow us 5 business days to investigate and respond
Step 2: Good Faith Negotiations (15 Business Days)
- Engage in sincere efforts to resolve the matter amicably
- Participate in telephone or video conferences if requested
- Consider reasonable compromise solutions
Step 3: Formal Mediation (30 Days)
- If negotiation fails, agree to binding mediation
- Appoint a mutually acceptable mediator in Sydney, NSW
- Share mediation costs equally between parties
- Attempt resolution within 30 days of mediation commencement
Step 4: Arbitration or Litigation
- Only after exhausting Steps 1-3 may formal legal action be initiated
- Arbitration under Australian Commercial Disputes Centre rules, OR
- Court proceedings in New South Wales courts
15.3 Class Action Waiver
To the maximum extent permitted by law:
You agree to resolve disputes individually, and you waive any right to:
- Participate in class action lawsuits
- Join representative or collective proceedings
- Act as a class representative or member
- Consolidate claims with other parties
Each party may only bring claims in its individual capacity.
If this class action waiver is found unenforceable, the arbitration agreement is void and disputes will be resolved in New South Wales courts.

15.6 Legal Fees
In any legal proceeding:
- Each party generally bears its own legal costs and fees
- Prevailing party may recover costs if entitled under applicable law or contract
- Frivolous or bad faith claims may result in cost sanctions
- Fraudulent chargebacks or malicious disputes may result in fee recovery
16. General Provisions

These Subscription Terms, together with:

- Our Privacy Policy
- Your subscription confirmation email
- Any executed service agreements or addendums
…constitute the entire agreement between you and StockWire X regarding subscription services, superseding all prior negotiations, understandings, or agreements.
16.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction:
- The invalid provision will be modified to the minimum extent necessary to make it enforceable
- If modification is not possible, the provision will be severed
- All remaining provisions will remain in full force and effect
- The invalid provision will not affect the validity of the agreement as a whole
16.3 Waiver
Our failure to enforce any provision of these Terms does NOT constitute a waiver of:
- That provision or any other provision
- Our right to enforce provisions in the future
- Any remedies available to us under these Terms or applicable law
Any waiver must be:
- In writing and signed by an authorized StockWire X representative
- Limited to the specific circumstance described
- Not construed as a waiver of future breaches or different provisions
16.4 Assignment & Transfer
You May Not:
- Assign or transfer your subscription to another company without our written consent
- Sublicense or resell our services to third parties
- Transfer rights or obligations under these Terms
We May:
- Assign these Terms to any entity within the AiGentic Group without your consent
- Transfer rights and obligations to a successor in interest following merger, acquisition, or sale of assets
- Subcontract service delivery to third-party providers
- License our technology to other entities (subject to your data confidentiality)
You will be notified of material assignments that affect your services.
16.5 Force Majeure
We are not liable for failure or delay in performance due to circumstances beyond our reasonable control, including:
Technology & Infrastructure:
- Internet outages, cloud provider failures, or network disruptions
- Cyber attacks, DDoS attacks, or security incidents
- Third-party software or API failures (ASX, payment processors, etc.)
Natural & Human-Caused Events:
- Natural disasters, extreme weather, or environmental catastrophes
- Pandemics, epidemics, or public health emergencies
- War, terrorism, civil unrest, or government actions
- Labor disputes, strikes, or supply chain disruptions
During Force Majeure:
- We will use commercially reasonable efforts to resume services
- Subscription periods may be extended to compensate for prolonged outages
- No refunds are provided for force majeure disruptions

- StockWire X and Corporate Clients are independent businesses
- No partnership, joint venture, agency, or employment relationship exists
- Neither party may bind the other or represent themselves as having authority to do so
- Each party is responsible for its own taxes, insurance, and regulatory compliance
16.8 Third-Party Beneficiaries
These Terms are solely for the benefit of StockWire X and Corporate Clients.
No third party has the right to enforce any provision, except:
- AiGentic Group Pty Ltd and AiGentic Labs Pty Ltd (as related entities)
- Service providers and payment processors (to the extent necessary for service delivery)
- Successors and assigns as permitted under these Terms
16.9 Interpretation
In interpreting these Terms:
- Headings are for convenience only and do not affect interpretation
- “Including” means “including but not limited to”
- Singular includes plural and vice versa
- References to “business days” exclude weekends and Australian public holidays
- Time references are to Australian Western Standard Time (AWST) unless otherwise specified
- Monetary amounts are in Australian Dollars (AUD) unless otherwise stated

These Terms are drafted and executed in English. Any translations are provided for convenience only. In the event of conflict between English and translated versions, the English version prevails.

✅ You waive your right to file inappropriate chargebacks on valid transactions and understand we will vigorously defend chargebacks with supporting documentation
✅ You understand investment disclaimers and that StockWire X does not provide financial advice or guarantee business outcomes
✅ You accept all limitations of liability and agree to resolve disputes through the mandatory dispute resolution process
